WOODWORKING TECHNOLOGY AGREEMENT

This Woodworking Technology Agreement (the "Agreement") is entered into as of Effective Date: by and between Provider Name: with principal address and Client Name: with principal address .

Recitals

WHEREAS, Provider develops and owns proprietary woodworking technology, including technical processes, tooling designs, CAD/CAM files, jigs, fixtures, production methods, software code, and related documentation (collectively, "Technology"); and

WHEREAS, Client desires to obtain limited rights to use certain Technology for the purposes set forth in this Agreement and Provider is willing to grant such rights under the terms and conditions herein; and

WHEREAS, the parties intend that the sharing of Technology be accompanied by protections for confidential information, clear delineation of ownership, and commercial terms governing payment and support.

Scope of Work

Payment Terms

All amounts are payable in United States dollars. Client shall pay undisputed invoices within Payment Period: days of receipt. Disputed amounts shall be resolved in good faith but do not relieve Client of the obligation to pay undisputed amounts.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above following written notice. Termination for insolvency, bankruptcy, or cessation of business shall be effective immediately upon written notice.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other related to Technology, business processes, pricing, product designs, CAD/CAM files, software source code, tooling specifications, and other technical or business information which is designated as confidential or that reasonably should be understood to be confidential.

The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) use it solely for performance under this Agreement; (c) restrict access to employees and contractors on a strictly need-to-know basis; and (d) not disclose Confidential Information to any third party without prior written consent. Confidentiality obligations shall survive termination for a period of years, except for trade secrets which shall be protected for as long as they remain trade secrets.

Intellectual Property; License

Provider retains all right, title, and interest in and to the Technology and any derivatives thereof, including copyrights, patents, trade secrets, and moral rights. Nothing in this Agreement shall transfer ownership of Technology except as expressly set forth herein.

Provider grants Client a limited, non-transferable, non-sublicensable license to use the specified Technology solely for the purposes set forth in the Scope of Work during the Term, subject to the license type selected below:

Representations; Warranties; Disclaimers

Each party represents that it has the authority to enter into this Agreement. Provider warrants that to its knowledge the Technology as delivered does not intentionally infringe the valid intellectual property rights of third parties. Provider's sole and exclusive obligation for breach of the foregoing warranty shall be, at Provider's option, to cure the infringement, obtain a license for Client, or refund fees paid for the affected Technology.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE TECHNOLOGY AND DELIVERABLES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Indemnification; Limitation of Liability

Client shall indemnify, defend and hold Provider harmless from third-party claims arising out of Client's misuse of Technology, violation of license restrictions, or modification of deliverables not authorized by Provider. Provider shall indemnify Client for claims alleging that Provider-delivered Technology infringes third-party intellectual property, subject to the limitations set forth in this Agreement.

IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, CONSEQUENTIAL, OR LOST PROFITS, EXCEPT FOR LIABILITY ARISING FROM BREACH OF CONFIDENTIALITY OR WILLFUL MISCONDUCT.

Return of Materials

Upon termination or expiration, Client shall promptly return or certify destruction of all Provider Confidential Information and Technology in Client's possession, except for one archival copy retained solely for regulatory or internal recordkeeping purposes subject to confidentiality obligations.

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in for resolution of disputes.

Entire Agreement

This Agreement, including any attachments and statements of work signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
