WORK AUTHORIZATION FORM

This Work Authorization Form (the "Authorization") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client requires certain services and/or deliverables described herein and desires to engage Service Provider to perform such services under the terms and conditions of this Authorization; and

WHEREAS, Service Provider represents that it possesses the qualifications, experience, personnel, equipment and licenses necessary to perform the work in a professional manner and will comply with all applicable laws and industry standards; and

WHEREAS, the parties desire to set forth the scope, compensation, timing and other material terms that will govern the performance of the work.

Payments shall be due within days of receipt of a properly rendered invoice and shall be made in lawful currency by check or electronic transfer as agreed between the parties.

TERM AND TERMINATION

This Authorization commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Authorization for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Termination for cause may occur immediately upon written notice if the other party materially breaches its obligations and fails to cure within 10 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

The parties acknowledge that in the performance of this Authorization each may receive or have access to Confidential Information of the other. "Confidential Information" means non-public information disclosed in written, electronic or oral form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall: (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted herein; and (c) use Confidential Information only to perform its obligations under this Authorization. The obligations in this paragraph shall survive termination for a period of three (3) years.

COMPLIANCE, INSURANCE AND REPRESENTATIONS

Service Provider represents and warrants that it will comply with all applicable laws, regulations and ordinances in performing the work and will maintain, at its own expense, insurance appropriate to the services provided, including commercial general liability and workers' compensation as required by law. Upon request, Service Provider shall provide evidence of insurance to Client prior to commencing work.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The total liability of either party for any claim arising out of or related to this Authorization shall not exceed the total amount paid or payable to Service Provider under this Authorization.

GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflict of law rules.

ENTIRE AGREEMENT

This Authorization, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Authorization shall be effective unless in writing and signed by authorized representatives of both parties.
