WORK CONTRACT ANNEX

This Annex Number (this "Annex") is made effective as of and supplements the Work Contract dated (the "Agreement") between Client Name: and Contractor Name: . The Client and the Contractor are each a "Party" and together the "Parties."

RECITALS

WHEREAS, the Parties entered into the Agreement to define the terms for certain work, services and deliverables; and

WHEREAS, the Parties desire to modify and supplement the Agreement to set forth additional services, compensation, schedule and related terms as set forth in this Annex; and

WHEREAS, the Parties intend for this Annex to be incorporated into and governed by the Agreement except as expressly modified herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 Capitalized terms used but not defined in this Annex have the meanings given to them in the Agreement. For purposes of this Annex, "Annex Services" means the additional services, tasks and deliverables described in Section 2 below.

2. SCOPE OF ANNEX WORK

2.1 The Contractor shall perform the Annex Services in accordance with the specifications, standards and acceptance criteria set forth herein. The Contractor shall provide all labor, materials, equipment and supervision necessary to perform the Annex Services unless otherwise expressly stated in this Annex.

3. TERM AND SCHEDULE

3.1 The services under this Annex shall commence on and shall continue until unless earlier terminated in accordance with this Annex or the Agreement.

4. COMPENSATION

4.1 As full and complete compensation for the Annex Services, the Client shall pay the Contractor the sum of together with any applicable taxes as required by law, subject to the payment schedule set forth in Section 4.2.

4.2 Unless otherwise specified in this Annex, the Contractor shall submit invoices in accordance with the milestones set forth above. Payment is due within days of receipt of an undisputed invoice. Late payments shall accrue interest at a rate of from the due date until paid.

5. CHANGE ORDERS

5.1 Any changes, additions or deletions to the Annex Services shall be made only by a written Change Order signed by authorized representatives of both Parties. A Change Order shall specify the change in scope, any adjustment to compensation and any adjustment to the schedule.

6. CONFIDENTIALITY

6.1 The Parties acknowledge that they may exchange Confidential Information in connection with the Annex Services. Each Party shall hold Confidential Information of the other Party in strict confidence and shall not use or disclose such information except as required to perform its obligations under this Annex or as otherwise authorized in writing. The obligations in this Section shall survive termination or expiration of this Annex for a period of .

7. INTELLECTUAL PROPERTY

7.1 Unless otherwise agreed in writing, all Work Product created by the Contractor specifically for the Client under this Annex shall be considered "work made for hire" and the Client shall own all right, title and interest therein. To the extent ownership cannot be vested by operation of law, the Contractor hereby assigns and shall assign to the Client all right, title and interest in such Work Product upon receipt of full payment.

7.2 Contractor shall retain ownership of its pre-existing tools, methodologies and general know-how. Contractor grants the Client a perpetual, non-exclusive, royalty-free license to any Contractor-owned materials incorporated into the Work Product solely to the extent required for the Client's use of the Work Product.

8. INDEMNIFICATION AND LIABILITY

8.1 Each Party shall indemnify, defend and hold harmless the other Party from and against third-party claims arising out of the indemnifying Party's gross negligence, willful misconduct or material breach of this Annex. The indemnified Party shall provide prompt written notice of any claim and reasonably cooperate in the defense.

8.2 Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither Party's aggregate liability under this Annex shall exceed the total compensation payable to the Contractor under this Annex.

9. INSURANCE

9.1 The Contractor shall maintain insurance coverage reasonably customary for the services provided, including commercial general liability and professional liability coverage. Minimum limits required: . Upon request, the Contractor shall provide certificates of insurance evidencing compliance.

10. TERMINATION

10.1 Either Party may terminate this Annex for convenience upon days' prior written notice to the other Party. In the event of termination for convenience, the Contractor shall be entitled to payment for all Annex Services performed and reasonable costs incurred prior to termination.

10.2 Termination of the Agreement shall terminate this Annex without further action, except for any provisions which by their nature survive expiration or termination.

12.1 Governing Law. This Annex shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

12.2 Entire Agreement. This Annex, together with the Agreement, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto.

12.3 Severability. If any provision of this Annex is held invalid or unenforceable, the remainder of this Annex will remain in full force and effect and shall be construed so as to effectuate the intent of the Parties as nearly as possible.

12.4 Amendments; Waiver. No amendment or waiver of any provision of this Annex shall be effective unless in a written instrument signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right under this Annex shall be a waiver of that right.

12.5 Counterparts. This Annex may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding.
