This Work Document Form (the Agreement) is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client intends to engage Contractor to perform the services and produce the deliverables described in this Agreement for the project titled: ; and

WHEREAS, Contractor represents that Contractor possesses the necessary expertise, personnel, and resources to perform the work described herein and is willing to perform such work on the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Contractor will perform the services described below and deliver the associated deliverables in accordance with the schedules and acceptance criteria agreed by the parties.

Payment Terms

Client shall pay Contractor the Total Compensation specified below in consideration for satisfactory performance of the Scope of Work. Contractor shall invoice Client in accordance with the Payment Schedule below. Unless otherwise stated, all payments are due within days of Client's receipt of a properly submitted invoice.

Late payments shall incur a late fee of on outstanding balances, calculated monthly or the maximum allowed by law, whichever is less. Contractor shall be responsible for all employment and payroll taxes for Contractor's personnel; Client shall be responsible for applicable sales or use taxes unless Contractor is required by law to collect such taxes.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Contractor shall deliver any completed work and Client shall pay Contractor for work performed and expenses incurred through the effective date of termination in accordance with the payment terms of this Agreement. Sections concerning Confidentiality, Governing Law, Indemnification, and Payment shall survive termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Contractor and Client shall each: (a) use Confidential Information solely to perform obligations under this Agreement; (b) restrict disclosure to employees, contractors, or agents with a need to know and who are bound by obligations of confidentiality no less protective than those herein; and (c) exercise at least reasonable care to protect Confidential Information. Confidential Information does not include information that is or becomes publicly available without breach, is rightfully received from a third party without restriction, or is independently developed without use of the other's Confidential Information.

Remedies for breach of confidentiality include monetary damages and equitable relief, including injunctive relief. The obligations in this Section shall survive termination or expiration of this Agreement for a period of three (3) years, or longer as required by law for trade secrets.

Independent Contractor

Contractor is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee, partnership, joint venture, or agency relationship. Contractor is solely responsible for all payroll, employment, and other taxes and withholdings related to Contractor's personnel.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Venue for any dispute arising under this Agreement shall be in the state and federal courts located in that state, and the parties consent to the personal jurisdiction of such courts.

Entire Agreement

This Agreement, including any exhibits, schedules, or attachments expressly incorporated herein, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
