Compensation will be paid as set forth below. Contractor represents that all stated rates are exclusive of applicable taxes unless otherwise noted. Client shall pay invoices in accordance with the schedule below.

Term and Termination

This Work Entry is effective as of Start Date: and shall remain in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if such breach remains uncured for the Notice Period (days): after written notice. Client may terminate for convenience upon payment for work performed and reasonable demobilization costs.

Confidentiality

Each party shall keep confidential all non-public information received from the other party in connection with this Work Entry and shall not disclose such information except to those employees, agents or subcontractors with a need to know and who are bound by obligations of confidentiality at least as protective as those herein. Confidential information does not include information that is or becomes publicly known through no wrongful act of the receiving party.

Governing Law

This Work Entry shall be governed by and construed in accordance with the laws of the jurisdiction: without regard to its conflicts of law principles.

Entire Agreement

This Work Entry, together with any documents expressly incorporated by reference herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written, relating to such subject matter.
