Changes and Change Orders

All modifications to the Scope of Work, schedule, or compensation must be documented by a written Change Order executed by authorized representatives of both parties. Emergency changes required to prevent imminent harm may be implemented immediately but must be ratified by a written Change Order within days.

Confidentiality

Each party shall hold in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform obligations under this Work Order. "Confidential Information" includes technical data, specifications, materials, and any information designated confidential or that reasonably should be understood as confidential.

Confidentiality Period: years from the date of disclosure. Exclusions include information already in the public domain, independently developed without reference to disclosed information, or obtained from a third party without breach.

Warranties, Remedies, and Indemnification

Contractor warrants that the Work will be performed in a professional manner consistent with industry standards and that deliverables will conform to the Acceptance Criteria for a period of following acceptance. If nonconforming work is identified, Contractor shall, at its expense, promptly correct such work.

Each party shall indemnify and hold harmless the other party from third-party claims arising from its negligent acts or willful misconduct in connection with performance of the Work, subject to applicable limitations of liability set forth below.

Either party may terminate this Work Order for convenience upon days' prior written notice. Either party may terminate for material breach if such breach remains uncured for days after written notice specifying the breach.

Insurance and Compliance

Contractor represents that it will comply with all applicable laws, regulations, and standards in performing the Work and will maintain all licenses and certifications required by law.

Governing Law; Dispute Resolution; Entire Agreement

Governing Law: This Work Order shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law rules.

Dispute Resolution: The parties shall first attempt in good faith to resolve disputes through negotiation between senior representatives. If unresolved, the parties may pursue mediation prior to initiating litigation or arbitration, unless urgent equitable relief is sought.

Entire Agreement: This Work Order, together with any referenced exhibits or Change Orders executed by the parties, constitutes the entire agreement and supersedes all prior discussions, proposals and agreements, whether written or oral, relating to the subject matter hereof.

Assignment: Neither party may assign its rights or delegate its obligations under this Work Order without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes the assigning party's obligations.
