WHEREAS, Client requires certain services and/or materials more particularly described in this Work Order and in any attachments incorporated by reference (the "Services"); and

WHEREAS, Contractor represents that it possesses the necessary experience, personnel, equipment and licenses to perform the Services in a professional manner and agrees to perform the Services in accordance with the terms and conditions of this Work Order; and

WHEREAS, the parties wish to set forth the scope, schedule, payment terms and other material terms applicable to the Services.

Payment Terms

Client shall pay Contractor the Total Amount in accordance with the schedule below. Unless otherwise agreed in writing, invoicing and payment terms are as specified.

Invoices not paid within the agreed payment period shall accrue the late fee specified above, applied monthly to the outstanding balance, together with any costs of collection, including reasonable attorneys' fees.

Term and Termination

This Work Order commences on Start Date: and shall continue until End Date: or until completion of the Services, unless earlier terminated pursuant to this section.

Either party may terminate this Work Order for convenience upon written notice to the other party given not less than Notice Period (days): days prior to termination. Termination for cause shall be permitted where a party materially breaches its obligations and fails to cure such breach within thirty (30) days following written notice.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information, trade secrets, technical data, financial information or other proprietary information disclosed in connection with this Work Order ("Confidential Information"), except as required by law. Confidential Information shall remain the property of the disclosing party. This obligation will survive termination of this Work Order for a period of three (3) years.

Change Orders

Any change to the Scope of Work, price, schedule or other material term shall be documented in a written Change Order signed by authorized representatives of both parties. No oral modification will be effective.

Insurance and Indemnification

Contractor shall maintain, at its expense, insurance coverage customary for the industry and adequate to cover liabilities arising from the Services. Contractor agrees to indemnify, defend and hold harmless Client from and against all claims, liabilities, damages and expenses arising out of Contractor's performance, except to the extent caused by Client's gross negligence or willful misconduct.

Governing Law

This Work Order shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

Entire Agreement

This Work Order, including any exhibits and signed Change Orders, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior and contemporaneous agreements, representations and understandings. In the event of any conflict between this Work Order and any purchase order or other form of Client, the terms of this Work Order shall govern unless expressly agreed otherwise in a signed writing.

Acceptance of Work

Upon completion of the Services, Contractor shall notify Client in writing. Client shall have a reasonable inspection period not to exceed ten (10) business days to accept or reject the completed Services. Acceptance shall be evidenced by Client's signature below or by written notice of acceptance.
