WORK PERMIT AGREEMENT

This Work Permit Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Permit Issuer: (Issuer), and Permit Holder: (Holder). The parties agree as follows.

RECITALS

WHEREAS, Issuer controls access to the work location described below and has established safety and operational requirements for work conducted at the location; and

WHEREAS, Holder requires authorization to enter the site and perform the scope of work set forth herein under the conditions and limitations of this Agreement; and

WHEREAS, Issuer is willing to grant a limited permit to Holder subject to Holder's compliance with the terms of this Agreement and with all applicable laws, regulations and Issuer safety requirements.

NOW THEREFORE, in consideration of the mutual covenants and promises herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Permit" means the limited authorization granted by Issuer to Holder under this Agreement to access the Site and perform the Scope of Work during the Term and subject to the conditions set forth herein.

1.2 "Site" means the physical location identified as Work Location: and any adjacent areas where Holder's activities will take place.

2. GRANT OF PERMIT

2.1 Issuer hereby grants Holder a non-exclusive, non-transferable Permit to enter the Site and perform the Scope of Work strictly in accordance with the terms of this Agreement and any specific written or oral directions provided by Issuer's authorized representative. Permit Number:

3. SCOPE OF WORK

3.1 Holder shall perform only the work expressly described below and shall not undertake any additional tasks without prior written authorization from Issuer.

4. TERM; SUSPENSION; TERMINATION

4.1 The Permit commences on Effective Date: and expires on Expiration Date: unless earlier terminated pursuant to this Agreement.

4.2 Issuer may immediately suspend or terminate the Permit for cause, including but not limited to safety violations, failure to maintain required insurance, noncompliance with statutory obligations, or conduct that poses an imminent risk to persons or property. Suspension or termination does not relieve Holder of any obligations arising prior to suspension or termination.

5. CONDITIONS OF ENTRY AND PERFORMANCE

5.1 Holder shall ensure that all personnel performing work under this Permit are competent, appropriately trained, and instructed in Issuer site rules and emergency procedures.

5.2 Holder shall obtain and maintain, at Holder's expense, insurance coverages in amounts no less than those set forth below and shall provide certificates of insurance to Issuer upon request.

6. SAFETY REQUIREMENTS; SITE HAZARDS

6.1 Holder shall comply with Issuer safety rules and all applicable laws. Personal protective equipment (PPE) and hazard controls required for the Work include those indicated below. Holder shall ensure personnel use PPE and controls at all times while on the Site.

7. INDEMNITY

7.1 Holder shall indemnify, defend and hold harmless Issuer and its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Holder's performance of the Scope of Work, except to the extent caused by Issuer's gross negligence or willful misconduct.

8. INSPECTION; REMEDIES

8.1 Issuer reserves the right to inspect the Work, stop work, direct corrective action, or revoke the Permit if Holder fails to meet the requirements of this Agreement. Holder shall promptly remedy any deficiencies at Holder's expense.

9. CONFIDENTIALITY

9.1 Each party shall maintain the confidentiality of proprietary site information and trade secrets obtained in the course of performance under this Agreement and shall not use such information except as necessary to perform the Scope of Work.

10. FEES AND COSTS

10.1 If applicable, Holder shall pay Fees: for issuance or administration of the Permit. Holder shall be responsible for costs associated with corrective actions required by Issuer as a result of Holder's noncompliance.

11. NOTICES

11.1 All notices shall be in writing and delivered to the addresses below by hand, certified mail, or other documented delivery method. Notice is effective upon receipt.

12. AMENDMENTS; WAIVER; COUNTERPARTS

12.1 No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

13.1 This Agreement shall be governed by and construed in accordance with the law chosen by the parties:
