CONFIDENTIALITY

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties will attempt in good faith to resolve disputes promptly by negotiation between executives; if unresolved within 30 days, disputes may be submitted to mediation or other agreed alternative dispute resolution prior to formal litigation.

ENTIRE AGREEMENT

This document, including any attachments and referenced work orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification must be in writing and executed by authorized representatives of both parties.
