WORK SCHEDULE OF ACTIVITIES

This Work Schedule of Activities (the "Schedule") is made effective as of by and between:

WHEREAS

WHEREAS, the Client requires the performance of the activities, tasks, and services described in this Schedule to achieve the project objectives set forth by the parties; and

WHEREAS, the Contractor has the personnel, equipment, skills, and experience necessary to perform such activities and desires to perform the Services under the terms and conditions of this Schedule; and

WHEREAS, the parties desire to set forth a schedule of activities, responsibilities, deliverables, and payment terms in a form that is binding and enforceable.

SCOPE OF WORK

The Contractor shall perform the services and deliver the deliverables described below in accordance with the schedule and requirements set forth in this Schedule. The Contractor shall perform all work in a professional, competent manner consistent with industry standards.

The following activity entries constitute the initial schedule. The Contractor shall update the schedule as necessary and submit any revisions in writing for Client approval. Time is of the essence for each scheduled activity unless the parties agree otherwise in writing.

PAYMENT TERMS

The Client shall pay the Contractor for the services and deliverables set forth in this Schedule in accordance with the following terms. Contractor shall submit invoices in the form and frequency described below and shall include references to activity numbers and milestones where applicable.

All payments shall be made in lawful currency. Invoices not disputed in writing within seven (7) days shall be deemed accepted. If any undisputed amount is not paid when due, interest shall accrue at the rate specified above and the Contractor may suspend work after providing five (5) business days' written notice to the Client.

TERM AND TERMINATION

This Schedule commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Schedule for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure the breach within fourteen (14) days after receipt of written notice specifying the breach. Termination does not relieve the Client of payment obligations for work performed and accepted before termination.

CONFIDENTIALITY

For purposes of this Schedule, "Confidential Information" means all non-public information disclosed by either party that is designated confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to any third party except to those employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein, and (c) use such information solely to perform its obligations under this Schedule.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without confidentiality obligations; (iii) is independently developed without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided that the receiving party gives prompt written notice and cooperates to seek protective measures.

GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. Each party consents to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Schedule.

ENTIRE AGREEMENT

This Schedule, together with any statements of work or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Schedule must be in writing and signed by authorized representatives of both parties.

If any provision of this Schedule is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of either party to enforce any right shall not constitute a waiver of that right.
