WHEREAS, Client requires specific work tasks to be performed at the Site and desires a written statement of the tasks, materials, schedule, and payment terms; and

WHEREAS, Contractor represents that it has the skill, personnel, equipment and licenses necessary to perform the work described below and agrees to perform such work in accordance with the terms set forth in this Job Sheet; and

NOW, THEREFORE, the parties agree that the work shall be performed and compensated according to the Scope of Work, Payment Terms, and other provisions contained in this Job Sheet.

Either party may terminate this Job Sheet for material breach if the breaching party fails to cure the breach within  days after written notice. Termination by Client for convenience shall require payment for work performed and materials purchased up to the effective termination date.

Confidentiality

Each party shall hold confidential all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information shall not include information that is publicly known, already known to the receiving party without obligation of confidentiality, legitimately obtained from a third party, or independently developed. The receiving party shall use confidential information only to perform under this Job Sheet.

Compliance, Safety & Permits

Contractor shall comply with all applicable laws, codes, safety regulations and permit requirements. Contractor shall maintain appropriate insurance and shall furnish certificates upon request. Client shall provide access and any site-specific safety requirements prior to commencement.

Governing Law

This Job Sheet and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Entire Agreement

This Job Sheet, including any attached task sheets, exhibits or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification of this Job Sheet must be in writing and signed by an authorized representative of each party.
