WORKING CAPITAL LOAN AGREEMENT

This Working Capital Loan Agreement (the "Agreement") is made and entered into as of by and between:

WHEREAS, Lender agrees to extend credit to Borrower for the purpose of providing working capital on the terms and conditions set forth herein; and WHEREAS, Borrower desires to borrow and promises to repay the principal and interest as provided in this Agreement.

Interest shall accrue on the unpaid principal balance at the rate set forth above, computed on a 365-day year basis and charged for actual days elapsed. Interest shall be payable in accordance with the Repayment Schedule below.

Representations and Warranties

Borrower represents and warrants that: (a) Borrower is duly organized and validly existing under its governing law; (b) Borrower has full power and authority to execute and perform this Agreement; (c) the execution, delivery and performance of this Agreement do not violate any material agreement or law; and (d) no bankruptcy, insolvency or similar proceedings are pending or threatened against Borrower.

Covenants

Borrower covenants to: maintain its corporate existence; provide financial statements to Lender upon request; not incur additional indebtedness that would materially impair its ability to repay the Loan without Lender's prior written consent.

Events of Default; Remedies

Events of Default include: (a) Borrower's failure to pay principal or interest when due; (b) breach of any representation, warranty or covenant; (c) insolvency or commencement of bankruptcy proceedings; or (d) any material adverse change in Borrower's ability to perform. Upon Event of Default, Lender may declare all amounts immediately due and payable and exercise all rights and remedies available at law or in equity, including enforcement of security interests and collection of attorney's fees and costs.

Lender's obligation to advance funds is subject to the receipt of all required documents and the satisfaction of customary conditions precedent, including but not limited to: evidence of authority, certified organizational documents, a duly executed security agreement (if applicable), and payment of fees.

Notices

All notices shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as either party designates by written notice.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of state and federal courts located in that state for resolution of disputes arising under this Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No amendment shall be effective unless in writing and signed by both parties. Any waiver must be in a writing signed by the waiving party.
