RECITALS

WHEREAS, Employer Name: (the "Employer") operates the workplace and maintains responsibility for workplace health and safety; and

WHEREAS, Supplier/Contractor Name: (the "Supplier") will provide and/or manage personal protective equipment ("PPE") and related services in accordance with the terms set forth herein; and

WHEREAS, the parties agree to establish specific PPE requirements, procedures, training, inspection and payment terms to reduce workplace hazards and ensure compliance with applicable safety standards;

TRAINING, INSPECTION, AND RECORDKEEPING

Supplier shall provide initial PPE training for employees designated to use the PPE and periodic refresher training. Training shall include proper fit, use, limitations, cleaning, and storage. Training records and inspection logs shall be retained and made available to Employer upon request.

PAYMENT TERMS

Employer shall pay Supplier for the PPE and services provided in accordance with the following payment terms. All monetary amounts are in U.S. dollars unless otherwise specified.

TERM AND TERMINATION

This Agreement commences on Effective Date: and remains in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within the specified notice period. Employer may terminate immediately for safety-related failures that present imminent risk of serious injury or death.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged under this Agreement may be confidential. Each party shall maintain in confidence all proprietary or non-public information disclosed by the other and shall not disclose such information except to employees or agents who have a need to know and who are bound by similar confidentiality obligations. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without restriction.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Supplier shall indemnify, defend and hold Employer harmless from claims arising out of Supplier's negligence, willful misconduct, or breach of this Agreement, including claims related to defective PPE provided by Supplier. Except for liability arising from gross negligence, willful misconduct, or obligations to indemnify, neither party's aggregate liability under this Agreement shall exceed the total payments paid by Employer to Supplier under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written change orders signed by authorized representatives of both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, understandings and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

ACKNOWLEDGMENTS

The undersigned represent and warrant that they are authorized to enter into this Agreement on behalf of the party for whom they sign and that the information provided in this document is accurate to the best of their knowledge.
