WORKPLACE WORKSAFE AGREEMENT

This Workplace Worksafe Agreement ("Agreement") is made effective as of by and between Client Name: and Service Provider: .

WHEREAS

WHEREAS, Client operates facilities and workplaces at the location(s) set forth in this Agreement and requires services to assess, implement and maintain workplace safety programs to reduce occupational hazards and ensure regulatory compliance; and

WHEREAS, Service Provider is engaged in the business of providing occupational health and safety consulting, training, inspections and related worksafe services and represents that it has the expertise, personnel and resources to perform the Services described herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the parties agree as follows.

1. SCOPE OF WORK

Service Provider shall provide workplace safety services (the "Services") to Client as described below. Services include but are not limited to hazard assessment, development of safe work procedures, employee training, incident investigation, and monitoring. Specific tasks, deliverables and milestones are set forth in the Scope of Work field below.

2. SAFETY STANDARDS AND COMPLIANCE

Service Provider shall perform all Services in accordance with applicable workplace safety standards and accepted industry practices. Client will provide reasonable access to facilities and personnel as necessary for performance of Services.

Training of employees on identified hazards
Provision and use of personal protective equipment
Regular safety inspections and corrective action tracking
Incident reporting and investigation protocols

3. PAYMENT TERMS

In consideration for Services rendered, Client shall pay Service Provider as set forth below. All fees are exclusive of taxes unless otherwise stated.

If any undisputed invoice is not paid within days following the invoice due date, Client shall pay interest at the lesser of per month or the maximum rate permitted by law.

4. TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches a material obligation under this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

5. CONFIDENTIALITY

Each party agrees that it will not disclose Confidential Information of the other party except as necessary to perform its obligations under this Agreement or as required by law. "Confidential Information" means non-public business, technical, operational or safety program information disclosed in written, electronic or oral form.

The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information but in no event less than reasonable care. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party; is independently developed; or is rightfully received from a third party without restriction.

6. INSURANCE AND INDEMNIFICATION

Service Provider shall maintain, at its expense, insurance coverages appropriate to the Services, including general liability and workers' compensation where applicable. Service Provider agrees to indemnify, defend and hold harmless Client from claims, liabilities and expenses arising out of Service Provider's negligent performance of the Services, except to the extent caused by Client's gross negligence or willful misconduct.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

8. ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.
