WORKSITE SAFETY AGREEMENT

This Worksite Safety Agreement ("Agreement") is entered into by the parties identified below on the effective date set forth herein. Client Name: Worksite Address:

WHEREAS

WHEREAS, Worksite Owner operates or controls the location identified above and requires contracting parties to comply with specified safety standards and procedures; and

WHEREAS, Contractor agrees to perform work at the Worksite in accordance with the Scope of Work and to accept responsibility for implementing required safety measures and monitoring the performance of its employees, agents, and subcontractors; and

WHEREAS, the parties wish to set forth their respective obligations to prevent accidents, property damage, personal injury, and regulatory noncompliance while work is performed at the Worksite.

SCOPE OF WORK

The Contractor shall perform the following work at the Worksite. The description below identifies the tasks to be performed and any worksite-specific hazards reasonably anticipated.

SAFETY RESPONSIBILITIES

The parties agree to the following safety responsibilities. Contractor shall ensure compliance by its personnel, subcontractors, and suppliers.

INCIDENT REPORTING AND EMERGENCY PROCEDURES

Contractor shall immediately notify Owner of any injury, near-miss, property damage, or regulatory citation related to work at the Worksite. Contractor will preserve incident scene evidence and cooperate in all investigations.

INSURANCE, INDEMNITY, AND LIABILITY

Contractor shall maintain insurance sufficient to cover obligations under this Agreement and any applicable law. Contractor shall name Owner as an additional insured on applicable policies to the extent commercially reasonable and permitted by insurer.

To the fullest extent permitted by law, Contractor shall indemnify, defend and hold Owner harmless from claims, damages, losses and expenses (including reasonable attorney fees) arising from Contractor's performance, except to the extent caused by Owner's gross negligence or willful misconduct.

SUBCONTRACTORS

Contractor shall ensure all subcontractors comply with the terms of this Agreement. Contractor remains fully responsible for acts and omissions of its subcontractors and shall ensure subcontractors possess necessary qualifications and insurance.

PAYMENT TERMS

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated according to this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure within the notice period below. In addition, Owner may suspend or terminate work immediately where an imminent hazard exists.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other's proprietary safety plans, incident reports, and other non-public information disclosed in connection with this Agreement. Confidential information shall not be used except to fulfill obligations under this Agreement and shall be returned or destroyed upon request, except as required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Worksite is located.

ENTIRE AGREEMENT

This Agreement, together with any attachments or site-specific safety plans acknowledged below, constitutes the entire agreement between the parties regarding safety and supersedes prior understandings. Any amendments must be in writing and signed by authorized representatives of both parties.

CERTIFICATION

By signing below, each party certifies that it has the authority to enter into this Agreement, that all information provided herein is true and correct, and that Contractor will perform work in compliance with the terms of this Agreement and all applicable safety laws, regulations and standards.
