Insurance & Liability

Registrant represents that it maintains commercial general liability and property insurance adequate for its use of the Workspace and will provide proof upon request. Registrant agrees to indemnify and hold Provider harmless from claims arising out of Registrant's use, subject to Provider's gross negligence or willful misconduct.

Registrant's intended use and any services to be provided under this registration are described below. Registrant warrants that its use will comply with building rules, safety requirements, and reasonable operating procedures set by Provider.

All payments are due in accordance with the Payment Schedule. Unpaid amounts bear interest at the lesser of 1.5% per month or the maximum permitted by law. Provider may suspend access for delinquent accounts following reasonable notice.

Either party may terminate this Agreement without cause by providing written notice at least days prior to the intended termination date. Provider may terminate immediately for cause, including violation of building rules, nonpayment, or illegal activity.

Confidentiality

Each party shall keep confidential all proprietary information disclosed by the other party in connection with this Agreement that is marked confidential or would reasonably be understood to be confidential. Confidential information does not include information that is publicly known, independently developed without use of confidential information, or required to be disclosed by law. The obligations in this clause survive termination of this Agreement for a period of two (2) years.

Governing Law

This Agreement is governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of that state for any disputes arising under this Agreement.

Entire Agreement
