WORKSTATION AGREEMENT

Parties

This Workstation Agreement (the Agreement) is entered into by and between ("Provider"), and ("Recipient"). Provider and Recipient are sometimes individually referred to as a Party and collectively as the Parties.

WHEREAS

WHEREAS, Provider maintains workstation hardware, software, network access, and support services and agrees to make a workstation available to Recipient;

WHEREAS, Recipient requires access to a secure and configured workstation for business operations and agrees to comply with Provider's reasonable operational requirements and this Agreement; and

WHEREAS, the Parties intend to establish terms governing the use, maintenance, payment, confidentiality, and return of the workstation and related services.

Scope of Work

Payment Terms

Recipient shall pay Provider the consideration set forth below in exchange for the workstation and services described above.

Any undisputed amount not paid when due shall accrue interest at or a flat late fee of per late installment, whichever is greater. Provider may suspend services for materially overdue payments after providing written notice as set forth in this Agreement.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within thirty (30) days following written notice. Termination for cause is effective immediately upon written notice where cure is not possible or in the event of gross negligence, willful misconduct, insolvency, or unauthorized use of Provider property.

Upon termination or expiration, Recipient shall return all Provider equipment, data, and access credentials within ten (10) days, in the condition required by Provider reasonable wear and tear excepted. Provider may charge repair or replacement costs for damage beyond normal wear.

Confidentiality

Each Party acknowledges that, in connection with this Agreement, it may receive Confidential Information of the other Party. "Confidential Information" includes non-public technical, operational, financial, personnel and business information, but excludes information that (i) is or becomes public other than by breach of this Agreement, (ii) was already known to the recipient without restriction, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed without use of the disclosing Party’s Confidential Information.

Recipient shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or agents with a need to know and who are bound by confidentiality obligations at least as protective as this Agreement; and (c) implement reasonable administrative, technical and physical safeguards to protect Confidential Information. Required disclosures by law or court order must be promptly reported to the disclosing Party, and the disclosing Party shall be afforded the opportunity to seek protective measures.

Insurance; Risk Allocation

Recipient shall maintain insurance sufficient to cover loss or damage to Provider equipment in Recipient's care and any liability arising from Recipient's use of the workstation. Provider's liability for any claim under this Agreement is limited to direct damages up to the total fees paid by Recipient in the six (6) months preceding the claim. Neither Party shall be liable for consequential, incidental, punitive, or special damages except in cases of willful misconduct or gross negligence.

Compliance; Data Security

Recipient shall comply with applicable laws and Provider's reasonable security policies when using the workstation. Recipient is responsible for backing up its data and for any data stored on the workstation; Provider is not responsible for loss of Recipient data except to the extent caused by Provider's gross negligence or willful misconduct. Any personal data processing shall be conducted in accordance with applicable data protection laws.

Indemnification

Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from the indemnifying Party's breach of this Agreement, negligence, or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The Parties will attempt in good faith to resolve disputes through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration before a single arbitrator in the chosen jurisdiction, unless the Parties mutually agree to litigate.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments, constitutes the entire agreement between the Parties concerning the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or waiver must be in writing and signed by authorized representatives of both Parties.

Representations and Warranties; Authority

Each Party represents that it has the corporate power and authority to enter into this Agreement and to perform its obligations. Provider warrants that it will provide workstation services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Notices

Miscellaneous

If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in full force. No waiver shall be effective unless in writing and signed by the waiving Party. The Parties are independent contractors and nothing in this Agreement creates an employment, partnership or agency relationship.
