The Service Provider shall deliver the services described in the Scope of Work below. The Scope of Work constitutes the operative description of tasks and deliverables and is incorporated into this Agreement.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below for services rendered. Fees do not include taxes or third‑party materials unless stated.

All undisputed amounts not paid when due shall accrue interest at the rate specified above and Service Provider may suspend further services until payment is received.

TERM AND TERMINATION

This Agreement commences on the Start Date indicated below and continues until completion of the Scope of Work or the End Date indicated, unless earlier terminated pursuant to this section.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause is effective immediately upon written notice if the non‑breaching party does not cure a material breach within 10 days after written notice.

CONFIDENTIALITY

Each party shall keep confidential all non‑public information disclosed by the other party in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes user credentials, configuration details, and security settings.

The receiving party may use Confidential Information only to perform its obligations under this Agreement and may disclose it only to employees or subcontractors who need the information and who are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that is or becomes publicly known without breach, was known prior to disclosure, or is rightfully received from a third party without restriction.

WARRANTIES & LIMITATION OF LIABILITY

Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Client acknowledges that Service Provider does not warrant compatibility with all third‑party software or future software updates beyond the scope described herein.

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. Service Provider's total liability under this Agreement shall not exceed the fees paid by Client for the specific workstation setup giving rise to the claim.

MAINTENANCE & SUPPORT

Ongoing maintenance or support services are not included unless expressly stated in the Scope of Work. Any post‑setup support will be provided under a separate agreement or statement of work.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to conflicts of laws principles.

This document, including the Scope of Work and any attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.
