Wrexham Business Agreement

This Agreement is entered into by and between the parties identified below on the Effective Date set forth in the Term section. The parties agree as follows.

Payment Terms

Compensation to Party B for performance under this Agreement shall be as follows.

Party B shall submit invoices to Party A. Payments are due within days of invoice receipt.

Overdue amounts shall bear interest at the lesser of (i) % per month; or (ii) the maximum rate permitted by applicable law. In addition, a one-off administrative late fee of may be applied if payment is more than days overdue.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause by delivering written notice to the other party at least days prior to the intended termination date.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within 14 days following receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that by its nature ought reasonably to be treated as confidential. Each party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or professional advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein.

Confidentiality obligations shall survive termination for a period of years, except with respect to trade secrets for which the receiving party's obligations shall remain in effect for as long as such information qualifies as a trade secret under applicable law.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or indemnification obligations, each party's aggregate liability under this Agreement shall be limited to the total amounts actually paid or payable by Party A to Party B under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of law principles.

Entire Agreement

This Agreement, including all attachments and schedules, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon receipt when delivered by hand, recorded delivery service, or confirmed electronic transmission.
