WHEREAS

WHEREAS, the Parties have collaborated to create or intend to create one or more musical or written works, recordings, lyrics, compositions and/or derivative works (collectively, the Work); and

WHEREAS, the Parties desire to record and confirm in writing the relative contributions, ownership percentages, and payment allocation for the Work to avoid future disputes and to enable proper registration and administration of rights and royalties.

WHEREAS, the Parties intend for this Split Sheet to constitute an agreement memorializing the Parties' mutual understanding of ownership and compensation for the Work.

SCOPE OF WORK

CONTRIBUTIONS & OWNERSHIP SPLIT

The Parties record the following contributions and agree the ownership of the Work shall be allocated as follows. Percentages recorded below represent the Parties' agreed share of the copyright and any publishing/composer share, unless otherwise noted.

The Parties represent and warrant that the percentage allocations above reflect the Parties' good faith agreement and that they shall be used for registrations and royalty allocations with performing rights organizations, mechanical rights administrators, and for publisher registrations as applicable.

PAYMENT TERMS

Any payments, advances, or royalties relating to the Work shall be distributed in accordance with the ownership shares recorded in this Agreement, subject to applicable deductions for agreed publishing administration or third-party fees.

TERM AND TERMINATION

This Agreement commences on the Start Date below and, unless earlier terminated in accordance with this section, continues for the Term specified. Termination does not affect the Parties' obligations to account for and pay shares accrued prior to termination.

Either Party may terminate this Agreement for material breach if the breaching Party fails to cure within the Notice Period following written notice. Termination shall not relieve the Parties of liability for breaches occurring prior to termination.

CONFIDENTIALITY

The Parties acknowledge that certain information disclosed in connection with the collaboration may be confidential. Each Party agrees to keep confidential any nonpublic business information, creative drafts, or financial terms disclosed by the other Party, and shall not disclose such information except as required by law or as necessary to perform obligations under this Agreement.

Confidentiality obligations survive termination of this Agreement for a period of two (2) years, except for ownership and registration information necessary for copyright or royalty administration, which may be disclosed to collecting societies, publishers, licensees, or distributors as reasonably necessary.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of law rules.

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. Any amendment or modification must be in writing and signed by both Parties.
