WRITER SERVICES AGREEMENT

This Writer Services Agreement (the "Agreement") is entered into as of by and between:

PARTIES

RECITALS

WHEREAS, Client desires to retain Writer to provide written content, editorial services and related deliverables described in this Agreement; and

WHEREAS, Writer represents that Writer has the expertise, personnel and resources to perform the services described below and is willing to provide such services to Client on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises set forth herein, the parties agree as follows:

SCOPE OF WORK

Writer will provide content, editing, and related creative services as described below. Materials shall meet the specifications and deadlines set forth in this Agreement or in written task orders issued pursuant to this Agreement.

PAYMENT TERMS

Client shall pay Writer the total fee and according to the schedule set forth below. All amounts are in U.S. dollars unless otherwise agreed in writing.

Payments are due within days of invoice unless otherwise specified. Client shall pay reasonable expenses pre-approved in writing by Client.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated, continues until .

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for 15 days after written notice describing the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or, by its nature, reasonably should be understood to be confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except as permitted herein; and (c) use it only to perform its obligations under this Agreement. Confidentiality obligations do not apply to information that is or becomes public through no breach by the recipient, was known prior to disclosure, is independently developed, or is required to be disclosed by law (provided the disclosing party is given prompt notice to seek protective relief).

OWNERSHIP AND LICENSE

Unless otherwise agreed in writing, the parties agree that upon full payment, Writer hereby assigns to Client all right, title and interest in and to the final deliverables created specifically for Client under this Agreement, including copyright, to the extent assignable. Writer retains the right to use non-confidential general skills, know-how, and techniques developed in performing the Services.

If assignment of copyright is not selected, the parties shall instead grant Client a perpetual, worldwide, non-exclusive, transferable license to use the delivered materials for Client's business purposes. To elect a license instead of assignment, check the following box:

REVISIONS; ACCEPTANCE

Client shall review deliverables and provide written acceptance or reasonably detailed change requests within days of delivery. Writer will perform up to rounds of revisions included in the Fee. Additional revisions will be billed at the Writer's then-current hourly rate as agreed in writing.

WARRANTIES; REPRESENTATIONS

Writer represents and warrants that (a) Writer has full power and authority to enter into this Agreement; (b) deliverables will be original and not infringe third-party rights; and (c) services will be performed in a professional, workmanlike manner consistent with industry standards. Client represents that it has authority to provide any materials it supplies to Writer and that use of such materials will not infringe third-party rights.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's breach of its representations, willful misconduct, or gross negligence. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. EXCEPT FOR BREACHES OF CONFIDENTIALITY OR WILLFUL MISCONDUCT, THE AGGREGATE LIABILITY OF EITHER PARTY SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE TO WRITER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

INDEPENDENT CONTRACTOR

Writer is an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture or agency between the parties. Writer is responsible for all taxes, insurance and benefits for Writer and Writer's personnel.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any written task orders or attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Notices shall be in writing and delivered to the contact information listed below. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.
