WRITING SERVICES AGREEMENT

This Writing Services Agreement (the "Agreement") is entered into as of by and between Client Name: located at , and Writer Name: located at .

Recitals

WHEREAS, Client desires to engage Writer to create written materials and related deliverables as further described in this Agreement; and

WHEREAS, Writer represents that Writer has the necessary expertise, capacity, and authority to perform the writing services described herein and will produce original work that does not infringe third-party rights; and

WHEREAS, the parties intend to set forth the terms and conditions under which such writing services will be performed, delivered, and compensated.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Services

1.1 Scope. Writer shall provide writing services and deliverables as described in the Service Description below (the "Services"). The Services shall include all drafting, editing, formatting, and reasonable revisions necessary to deliver the final materials specified by Client.

2. Compensation

2.1 Fees. Client shall pay Writer the total fee set forth below in consideration for the Services. Unless otherwise stated, fees are exclusive of applicable taxes.

2.2 Late Payment. Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law. Client remains responsible for all collection costs and reasonable attorneys' fees incurred by Writer in enforcing payment.

3. Revisions; Acceptance

3.1 Revisions. Client is entitled to rounds of reasonable revisions included in the fee. Additional revisions requested by Client beyond the included rounds will be billed at Writer's standard hourly rate as agreed in writing.

3.2 Acceptance. Deliverables shall be deemed accepted if Client does not provide written notice of rejection describing deficiencies within days of delivery. Upon acceptance or deemed acceptance, Client shall pay any outstanding amounts due for that deliverable.

4. Intellectual Property

4.1 Ownership. Subject to full and final payment to Writer, Writer hereby assigns and transfers to Client all right, title and interest in and to the Deliverables, including copyrights and all other intellectual property rights, worldwide and in perpetuity. To the extent any Deliverable may not be subject to assignment by operation of law, Writer hereby grants Client an exclusive, transferable, sublicensable, royalty-free license to use, reproduce, distribute, prepare derivative works of, display and perform the Deliverables for any purpose.

4.2 Reservation of Rights. Writer may retain and use for promotional purposes non-confidential, non-client-specific descriptions of the Services and redacted excerpts of the Deliverables unless Client checks the box below indicating that such use is prohibited.

5. Confidentiality

5.1 Definition. "Confidential Information" means any non-public information disclosed by a party that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

5.2 Obligation. Each party shall hold Confidential Information of the other in strict confidence and shall not disclose it to any third party except as required by law or as necessary to perform this Agreement. The receiving party shall use at least the same degree of care as it uses to protect its own confidential information, but no less than reasonable care.

6. Warranties; Representations

Writer represents and warrants that: (a) Writer has full power and authority to enter into this Agreement and to grant the rights granted herein; (b) each Deliverable will be original to Writer and will not infringe upon the intellectual property or other rights of any third party; and (c) to Writer's knowledge, the Deliverables contain no defamatory or unlawful content. Client represents that it has the right to provide materials and information to Writer and to authorize the use of such materials as contemplated by this Agreement.

7. Independent Contractor

The parties agree that Writer is an independent contractor and not an employee, agent, or partner of Client. Writer shall be solely responsible for all taxes, insurance, benefits, and other obligations arising from Writer's performance of the Services.

8. Term and Termination

8.1 Term. This Agreement commences on the Effective Date and continues until completion of the Services unless earlier terminated in accordance with this Agreement.

8.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Upon termination, Client shall pay Writer for all Services performed and expenses incurred through the effective date of termination.

8.3 Termination for Cause. Either party may terminate immediately for material breach if such breach remains uncured for days after written notice specifying the breach.

9. Indemnification; Limitation of Liability

9.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

9.2 Limitation of Liability. Except for liability arising from breach of Section 4 (Intellectual Property) or a party's gross negligence or willful misconduct, each party's aggregate liability to the other for any claim arising under this Agreement shall not exceed the total fees paid or payable to Writer under this Agreement, as set forth below: .

10. Notices

All notices under this Agreement shall be in writing and delivered by hand, overnight courier, or certified mail to the addresses of the parties set forth below or to such other address as a party may designate by written notice.

11. Amendments; Waiver; Severability; Counterparts

11.1 Amendments. This Agreement may be amended or modified only by a written instrument executed by both parties.

11.2 Waiver. Failure or delay by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or of the right to enforce it in the future.

11.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that preserves the parties' intent.

11.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same agreement. Signatures delivered by electronic means shall be effective as originals.

12. Governing Law; Entire Agreement

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: , without regard to conflict of laws principles.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

13. Miscellaneous

13.1 Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign this Agreement in connection with a merger, sale of assets or corporate reorganization to an affiliate.

13.2 Relationship of Parties. Except as expressly set forth herein, nothing in this Agreement shall create a partnership, joint venture, agency or employment relationship between the parties.
