RECITALS

WHEREAS, the Yacht Club operates marina facilities, docks, storage, social and recreational programs for qualified members and their guests; and

WHEREAS, the Member desires to obtain membership privileges and access to the Club's facilities in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the Club is willing to grant such membership subject to payment of required fees and compliance with Club rules, policies and applicable laws.

SCOPE OF MEMBERSHIP BENEFITS

The Club grants the Member the non-transferable privileges described below, subject to the terms of this Agreement. The Member's rights include, but are not limited to, use of marina berths, launch ramps, clubhouse facilities, participation in Club events, and limited storage as set forth by Club policy. Specific privileges, restrictions and any reserved berth assignments are described further in the Scope of Services field.

MEMBERSHIP TYPE

The Member selects the membership class below. Selection of a class obligates the Member to the fees, guest policies and privileges associated with that class.

PAYMENT TERMS

The Member agrees to pay the fees specified below in consideration for the membership privileges granted. All fees are due in accordance with the schedule selected; failure to pay when due is grounds for suspension or termination as provided herein.

If payment is not received within the time specified, the Club may suspend Member privileges, retain deposits, and charge interest and collection costs. Any prorated refunds upon termination are subject to Club policy and adjustments for outstanding obligations.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

The Club may terminate this Agreement immediately for breach, nonpayment, conduct detrimental to Club operations, or failure to maintain required insurance. The Member may terminate by providing the required written notice and settling outstanding obligations.

CONFIDENTIALITY

The Member acknowledges that certain Club records, membership lists, pricing, operational procedures and proprietary materials are confidential. The Member shall not disclose or use confidential information except as required to exercise membership privileges. This obligation survives termination of this Agreement for a period of three (3) years.

LIABILITY, INDEMNIFICATION AND INSURANCE

The Member uses Club facilities at Member's own risk. The Member releases the Club and its officers, employees and agents from claims arising from injury, loss or damage except to the extent caused by gross negligence or willful misconduct of the Club. The Member shall indemnify, defend and hold harmless the Club from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Member's use of Club facilities or vessels.

RULES, SAFETY AND CONDUCT

The Member agrees to comply with all Club rules, regulations, safety requirements and federal, state and local laws while on Club property or participating in Club activities. The Club may adopt reasonable rules governing docking, storage, guest conduct, noise, parking and environmental protection; compliance with such rules is a condition of membership.

The Member acknowledges receipt of and agrees to abide by the Club's published rules and bylaws where applicable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments, schedules and the Club rules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
