Seller expressly disclaims all other warranties, express or implied, including without limitation warranties of merchantability or fitness for a particular purpose, except to the extent prohibited by applicable law.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct or breach of this Agreement.

INSURANCE

During any period in which the vehicle is in Seller's custody or control for services, Seller shall maintain at its expense commercial general liability and physical damage insurance sufficient to cover the vehicle and potential third-party claims. Buyer shall maintain comprehensive insurance once Buyer assumes possession following sale or delivery.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
