Scope of Work

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified above. Termination does not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Both parties acknowledge and agree that client records and personal information are confidential and shall be handled in accordance with applicable law. Disclosure of youth records shall occur only as authorized in writing by the guardian or as required by law. Receiving Agency will limit disclosure to staff with a legitimate need-to-know and will maintain administrative, physical and technical safeguards to protect confidentiality.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below. The parties submit to the exclusive jurisdiction of the courts located within that state for resolution of disputes arising under this Agreement.

Entire Agreement

This document constitutes the entire Agreement between the Referring Agency and Receiving Agency with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.
