Recitals

WHEREAS, YWCA operates community programs, facilities, and services providing health, education, and social support to its members and the public; and

WHEREAS, the Member desires to obtain membership in YWCA to access those programs and facilities in accordance with the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, YWCA and Member agree as follows:

Scope of Work

The services, access rights, and obligations provided under this membership are described below. The Member acknowledges that access is subject to YWCA facility rules, program schedules, and capacity limits.

Payment Terms

All payments are due in accordance with the selected Payment Schedule. If payment is not received within the grace period established by YWCA, the Late Fee shall be assessed and the Member's access may be suspended until the account is brought current. Member authorizes YWCA to pursue collection, including reasonable costs and attorney's fees, for unpaid balances.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, expires on .

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the intended termination date. YWCA may immediately suspend or terminate membership for cause, including but not limited to nonpayment, violation of facility rules, or conduct posing risk to others.

Confidentiality

The parties acknowledge that during the term of this Agreement each may receive confidential information. "Confidential Information" includes membership records, financial data, personal information of members, and nonpublic operational information. Each party agrees to (a) use Confidential Information only for the performance of obligations under this Agreement and (b) not disclose Confidential Information to third parties except to employees, agents, or contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement, or that is independently developed without use of the other party's Confidential Information.

Member Acknowledgments and Rules

The Member agrees to comply with YWCA policies, facility rules, and program-specific terms, including health and safety protocols. Failure to comply may result in suspension or termination of membership without refund. Member attests that information provided in this Agreement is true and accurate and will promptly notify YWCA of changes.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

Entire Agreement

This Agreement, together with any schedules or addenda executed by the parties, constitutes the entire agreement between YWCA and Member with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Waiver; Severability

No failure or delay by either party in exercising any right under this Agreement will operate as a waiver. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
