Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use the Licensed Materials solely for the Permitted Use during the Term. This license expressly excludes the right to sublicense, distribute commercially, or transfer copies except as expressly authorized in writing by Licensor.

Restrictions and Reservation of Rights

Licensee shall not: (a) use the Licensed Materials for commercial purposes; (b) remove or alter copyright or proprietary notices; (c) permit third parties to access Licensed Materials except as required to collaborate on the Permitted Use and only with Licensor's prior written consent; or (d) create derivative works for distribution outside the academic context without a separate written license. All rights not expressly granted are reserved to Licensor.

Term and Termination

The license commences on the Effective Date and continues for the period specified above unless earlier terminated as set forth herein. Licensor may terminate this Agreement immediately upon written notice for material breach, unauthorized use, or misuse of Licensed Materials. Upon termination or expiration, Licensee shall cease all uses and, at Licensor's direction, return or destroy all copies of Licensed Materials.

Confidentiality and Data Protection

If Licensed Materials include confidential information or personal data, Licensee shall maintain confidentiality with at least the same care as Licensee uses to protect its own confidential information, but not less than reasonable care. Licensee shall comply with applicable data protection and privacy obligations and shall not attempt to re-identify anonymized data.

Intellectual Property and Publications

Licensor retains all right, title, and interest in and to the Licensed Materials and any underlying intellectual property. Licensee may publish results arising from the Permitted Use provided Licensee affords Licensor a reasonable opportunity to review manuscripts for confidential information or proprietary content and provides appropriate attribution to Licensor as specified here:

Licensor warrants only that it has the right to grant the license herein. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. LICENSOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Licensee shall indemnify and hold harmless Licensor and its employees and agents from and against any third-party claims arising out of Licensee's misuse of Licensed Materials or breach of this Agreement.
