Performance Evaluation; Professional Development

Termination; Nonrenewal; Severance

Termination for Cause: The Employer may terminate this Contract for cause upon written notice. For the purposes of this Contract, "cause" includes, but is not limited to, material breach of duties, dishonesty, fraud, conviction of a felony, willful insubordination, or loss of required certification.

Termination without Cause or Nonrenewal: Except as limited by law or other provisions of this Contract, the Employer may decline to renew or may terminate this Contract without cause by providing written notice. If the Employer elects to terminate without cause prior to the stated end date, the Administrator shall be entitled to the following severance arrangement (if any):

Notice Period for Termination or Nonrenewal: days' written notice is required unless immediate termination is permitted for cause.

Confidentiality; Records

The Administrator shall maintain the confidentiality of student and personnel records and all confidential Employer information in accordance with applicable policy. Upon termination or nonrenewal, the Administrator shall return all Employer property and records.

Conflict of Interest; Licensure Condition

The Administrator affirms absence of conflicts of interest that would impair the Administrator's duties, and agrees to disclose any potential conflicts promptly. This Contract is expressly conditioned upon the Administrator holding and maintaining all required credentials, licenses, and certifications required by the Employer.

Notices

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth above, or to such other address as either party may designate in writing, and shall be effective upon delivery.

Miscellaneous

Entire Agreement: This Contract contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No modification shall be effective unless in writing and signed by both parties.

Governing Law: This Contract shall be governed by the laws of the jurisdiction in which the Employer is located, without regard to principles of conflicts of law.
