RECITALS

A. is a limited liability company organized under the laws of the Commonwealth of Pennsylvania (the “company”).

B. The members of the company have entered into an operating agreement dated (the “operating agreement”).

C. (the “assignor”) is the owner of a percent ( ) membership interest in the company, which includes, without limitation, assignor’s percent ( ) capital and profits interest in the company, assignor’s capital account balance in the company, assignor’s distribution and liquidation rights in the company, and assignor’s voting and management rights and powers in the company, such interest being more specifically described in the operating agreement (the “assigned interest”).

D. Assignor and (the “assignee”) entered into a purchase agreement dated , pursuant to which assignor agreed to sell the assigned interest to assignee, and assignee agreed to purchase the assigned interest from assignor.

E. Assignor desires to assign the assigned interest to assignee and assignee desires to accept the assigned interest from assignor pursuant to this assignment and assumption of membership interest (the “assignment”).

ARTICLE I—INVESTMENT INTENTION AND FURTHER TRANSFER

1.01. Investment Intention. The assignee hereby represents and warrants to the assignor that acquisition of the assigned interest is made as principal for account for investment purposes only and not with a view to the resale or distribution of the assigned interest, except insofar as the Securities Act of 1933, as amended, and any applicable securities law of any state or other jurisdiction permit such acquisition to be made for the account of others or without requiring that the assigned interest, or the acquisition, resale, or distribution thereof, be registered under the Securities Act of 1933, as amended, or other jurisdiction.

1.02. Further Transfer. The assignee further agrees that will not transfer the assigned interest, or a portion thereof, to any person who does not represent and warrant as to such transferee’s investment intention and agrees not to transfer such units, or portion thereof, to any person who does not similarly represent, warrant, and agree.

ARTICLE II—ASSIGNMENT AND ASSUMPTION OF ASSIGNED INTEREST

2.01. Assignment. Assignor hereby assigns, transfers, and conveys to assignee all of assignor’s right, title, and interest in and to the assigned interest.

2.02. Assumption. Assignee hereby accepts the foregoing assignment and fully assumes all of assignor’s right, title, and interest in and to the assigned interest.

ARTICLE III—POST-ASSIGNMENT COVENANTS

3.01. Operating Agreement. The assignee agrees to execute and to be bound by the terms of the operating agreement and assumes any and all of assignor’s obligations thereunder.

3.02. Post-Assignment Cooperation. In addition to taking any actions required under the operating agreement, assignor and assignee agree to execute and deliver to each other such further documents, and to perform such other acts, as may be reasonably requested by either party or their respective counsel in order to carry out the full intent and purposes of this assignment.

3.03 Governance Rights. Until such time as the transfer of the assigned interest is approved, pursuant to the operating agreement and 15 Pa.C.S. 8924, the assignor shall exercise all governance rights with respect to the company only as directed by the assignee, but only to the extent such exercise would not cause assignor to violate any fiduciary duties. Assignor shall forward to assignee any information that he or she receives that is attributable to assignor’s retention of any management rights in the company.

ARTICLE IV—GENERAL PROVISIONS

4.01. Governing Law; Jurisdiction. This assignment shall be construed according to, and the rights of the parties hereunder shall be governed by, the laws of the Commonwealth of Pennsylvania. The parties hereby consent to the exclusive jurisdiction and venue of the federal and state courts located in County, Pennsylvania, in any action on or relating to this assignment.

4.02. Benefit of Assignment. The terms and conditions of this assignment shall be binding upon and shall inure to the benefit of the parties hereto, their respective heirs, personal representatives, executors, administrators, successors, and assigns.

4.03 Interpretation. The descriptive headings herein are inserted for convenience of reference only and are not intended to be part of or to affect the meaning or interpretation of this assignment.
