Assignment of Interest of Seller in a Security Agreement For a valuable consideration, the receipt of which is acknowledged, ____________________________________ (Name of Assignor) , of ________________ ________________________________________________________________________ (street address, city, county, state, zip code) , hereinafter called A ssignor , assigns to ____________________________________ (Name of Assignee) , of ________________ ________________________________________________________________________ _________________ (street address, city, county, state, zip code) , hereinafter called A ssignee , all of the interest of Assignor in a Security Agreement, an executed copy of which is attached hereto as Exhibit A, including all rights to sue for, collect, and give a receipt for all indebtedness due or to become due under the Security Agreement, with power to enforce in _________ his/her own name or in Assignor's name any right given to the Assignor in the Security Agreement or which may be deemed necessary by Assignee to enforce the terms of such Assignment. A. Assignor warrants that: 1. The Security Agreement was executed in connection with the sale to the purchaser of the property referred to in that Agreement. 2. The property referred to the Security Agreement has been delivered by Assignor to and accepted by the purchaser. 3. The property referred to in such Security Agreement is free from all liens and encumbrances, except the security interest pursuant to the assigned Security Agreement. 4. The Security Agreement is genuine in all respects. 6. There are no offsets, counterclaims, or other defenses to the Security Agreement, to Assignor's knowledge. 7. Assignor agrees that Assignee shall not assume any obligations or liabilities to the purchaser of the property referred to in this Assignment, other than those set forth in this Assignment.
