Intellectual Property; Credit

All choreography, staging, arrangements, pedagogical materials, notes, drafts, recordings, and derivative works created, developed or first reduced to practice by the Assistant Choreographer in connection with the Production (collectively, "Works") shall be the sole and exclusive property of the School. The Assistant hereby irrevocably assigns, transfers, and conveys to the School all right, title and interest in and to the Works throughout the world, including all copyrights and renewals and extensions thereof. The Assistant will execute any instruments reasonably necessary to confirm or perfect the School's ownership.

Credit: The School agrees to accord the Assistant reasonable on‑program or promotional credit as follows:

Confidentiality; Conduct

The Assistant shall maintain as confidential all non-public information concerning students, casting, choreography, budgets, and proprietary teaching methods and shall not disclose such information without prior written authorization. The Assistant must comply with School's code of conduct, child protection policies, safety protocols, and any applicable academic policies. Acknowledge:

The Assistant represents that any required criminal background checks, child abuse clearances, and medical clearances have been obtained and are current. Background check completed:    Date of clearance:

Termination; Remedies

This Agreement may be terminated by either party for convenience upon written notice to the other party of not less than days. The School may terminate immediately for cause, including but not limited to breach of confidentiality, misconduct, failure to comply with student-safety policies, or material breach of duties.

Upon termination, the Assistant shall promptly return all School property and materials and shall assign to the School any Works created during the Term. Remedies for breach include injunctive relief and recovery of damages as permitted by law.

Independent Contractor; Taxes

The parties agree that the Assistant is engaged as an independent contractor unless otherwise agreed in writing. The Assistant is responsible for all federal, state, and local taxes and benefits arising from payments made under this Agreement and shall indemnify the School for any liability arising from the Assistant's failure to pay such amounts.

Indemnification; Warranties

The Assistant represents and warrants that the Works are original, do not infringe third-party rights, and that Assistant has the full right to enter into this Agreement. The Assistant agrees to indemnify and hold harmless the School from any claims, liabilities, losses, costs, or damages arising out of breach of such warranty or other negligent or willful acts.

Notices; Governing Law; Dispute Resolution

Governing law: The laws of the State of shall govern this Agreement. The parties agree to attempt mediation in good faith for disputes arising under this Agreement prior to commencing any litigation; the parties may also agree to binding arbitration in lieu of court action.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties.
