What the Board Member Employment Addendum Is

A Board Member Employment Addendum is a supplemental legal agreement appended to an employment contract that documents the rights, duties, compensation, and governance obligations of a person who serves simultaneously as an employee and a corporate director. The addendum distinguishes board-level fiduciary responsibilities from day-to-day employment duties, clarifies compensation (salary, stipend, equity, or reimbursements), records reporting lines, and sets out conflict-of-interest procedures, confidentiality obligations, and any special termination or recusal terms. Organizations use it to reduce ambiguity between director and employee roles and to preserve consistent corporate records for governance and tax purposes.

Why an Addendum Matters for Dual Roles

A clear addendum reduces governance risk by documenting how board service interacts with employment rights, compensation, and conflicts of interest. It supports board approvals, HR and payroll alignment, and defensible recordkeeping for tax and regulatory reviews.

Why an Addendum Matters for Dual Roles

Who Typically Prepares and Signs This Addendum

Organizations and individuals use a Board Member Employment Addendum when a director also holds a paid employee role to document boundaries, approvals, and compensation.

  • Public company legal and HR teams — manage SEC disclosures, executive compensation, and board approvals.
  • Private companies and startups — align equity grants, vesting schedules, and founder-director compensation.
  • Independent directors who take staff roles — document recusal duties, confidentiality, and conflict remediation.

Legal counsel usually drafts terms that affect fiduciary duties; HR implements payroll and benefits changes and preserves the executed document in personnel and corporate records.

Primary Parties and Roles

Board Member

An individual who serves in both capacities. The addendum records their employee title, board duties, compensation arrangements, disclosure of conflicts, and any limitations on voting or access to sensitive information.

HR / Corporate Secretary

Human Resources or the Corporate Secretary maintains the executed addendum, updates payroll and benefits, and ensures board minutes reflect any approvals or waivers required under corporate governance.

Key Risks of an Incorrect or Missing Addendum

Tax Withholding Errors: Backup withholding risk
Fiduciary Conflicts: Board liability exposure
Void Provisions: Enforceability disputes possible
Payroll Misclassification: Wage and hour exposure
I-9 Documentation: Recordkeeping penalties
Corporate Governance: Board approval defects

Common Preparation Mistakes to Avoid

  • Failing to obtain explicit board approval before execution, which can create corporate governance challenges and weaken enforceability.
  • Leaving compensation vague (for example, “reasonable compensation”) instead of stating amounts, payout schedules, or equity vesting terms.
  • Not disclosing or addressing conflicts of interest tied to board duties, which can lead to challenged votes or liability claims.
  • Keeping separate employment and board records in different systems without cross-referencing approvals, causing audit and tax reconciliation gaps.

Step-by-Step: How to Complete the Addendum

Follow a short, consistent workflow to draft, approve, sign, and store the addendum so governance and payroll teams are aligned.

  • 01
Draft: Prepare terms, define duties, and cite governing state law.
  • 02
Review: Legal counsel reviews for fiduciary and employment implications.
  • 03
Approve: Obtain required board resolution or committee sign-off.
  • 04
Execute: All parties sign; distribute to HR and corporate records.

Where to Send, File, and Store the Executed Addendum

Proper routing ensures the addendum is effective and available for audits, payroll, and governance reviews.

  • Corporate Records: Store signed addendum with board minutes and resolutions.
  • HR Employee File: Add to personnel records for payroll and benefits.
  • Payroll Provider: Notify payroll to implement compensation changes.
  • Legal Repository: Preserve a copy in the legal document management system.

Core Components to Include in a Professional Addendum

A complete addendum is precise about scope, compensation, governance approvals, and post-termination effects to avoid later disputes and to protect fiduciary and employment interests.

Scope of Employment

Describe employee duties, reporting relationships, and how time is allocated between staff responsibilities and board service; specify any part-time or exempt classification.

Board Duties

Define director obligations, fiduciary standards, committee assignments, voting limitations, and recusal procedures to prevent role conflict.

Compensation

State salary, stipend, equity awards, reimbursement policies, and payment timing; attach schedules for vesting or deferred compensation if applicable.

Confidentiality

Include confidentiality, IP assignment, and data handling terms; address special provisions where HIPAA or client privacy rules apply.

Termination

Specify termination triggers, severance treatment, effect on board status, and requirements for resignation or removal from the board.

Approvals & Signatures

Require board resolution or committee approval language if necessary, and include signature blocks for employee, corporate officer, and corporate secretary.

Key Dates and Reporting Deadlines to Track

Certain administrative and tax deadlines arise from compensation or contractor classification tied to the addendum; coordinate with payroll and legal teams.

Effective Date Entry:

Set and confirm on the agreement; controls when payroll and benefits change

Board Approval Date:

Record the date of resolution authorizing compensation or role changes

Payroll Setup Deadline:

Complete payroll changes before the first pay period affected

Benefits Enrollment Cutoff:

Coordinate with benefits provider enrollment windows

Tax Reporting Obligations:

Provide W-9 on request; 1099-NEC reports due Jan 31 when applicable

Real-World Examples and Use Cases

Two brief case studies illustrate how companies applied a Board Member Employment Addendum to resolve role and compensation issues.

Optica Ventures LLC — COO

Optica Ventures faced overlapping responsibilities when a director assumed an operational COO role.

  • The company documented duties and compensation in an addendum.
  • The result: clearer reporting lines, faster payroll setup, and a single authoritative record for governance and investor review, simplifying audits and executive transitions.

Martin Properties — Founder

A founder serving on the board took an employee position managing asset acquisition.

  • The addendum defined stipend and recusal rules.
  • After execution, Martin Properties avoided potential conflicts during property acquisitions, streamlined expense reimbursement, and preserved clear documentation for lenders and partners.

Practical Tips for Accurate and Efficient Completion

Follow consistent drafting, approval, and storage practices to reduce risk and administrative friction.

Use Clear Language
Draft plain, specific provisions for compensation, duties, and termination. Avoid vague phrases like 'reasonable efforts' and specify payment timing and calculation methods to prevent disputes.
Coordinate Approvals
Obtain any required board or compensation committee resolutions before execution. Record approvals in minutes and attach or reference them in the addendum to prove corporate authorization.
Align Payroll
Notify payroll and benefits teams immediately after execution to implement withholding, reporting, and benefit eligibility changes without delay.
Keep a Central Copy
Store the signed addendum with personnel records and corporate minute books; maintain an indexed electronic copy for audit retrieval and retention compliance.
