Scope of Services: The Coach will provide advisory and coaching services as specifically described in the selected program options and in any attached statement of work. The Coach does not provide legal, tax, or accounting services unless explicitly agreed in writing. Client is responsible for all business decisions and outcomes.

No Guarantee: Client acknowledges that the Coach makes no guarantees regarding revenue, profit, fundraising, or other measurable outcomes. Coaching is intended to assist Client decision-making and capability; results depend on Client performance and external factors.

Confidentiality: The Coach agrees to maintain as confidential all non-public business information provided by Client in connection with coaching services, except information that (a) is or becomes public without breach, (b) is independently developed by the Coach, (c) is lawfully received from a third party, or (d) is required to be disclosed by law. Client consents to the Coach sharing aggregated, anonymized outcomes for internal reporting and marketing.

Recording & Materials: Sessions may be recorded only with the express written consent of both parties. All coaching materials, methodologies, and templates provided by the Coach are the Coach's intellectual property and are provided for Client's internal business use only; they may not be redistributed or resold without prior written consent.

Cancellation & Refunds: Client may cancel prior to the first scheduled session for a refund of fees paid less any non-refundable deposit. After the first session, refunds are discretionary and may be prorated based on sessions delivered. Coach reserves the right to terminate the agreement for material breach; in such event, Coach will provide a refund for prepaid, undelivered services less costs incurred.

Rescheduling: Client agrees to provide at least 24 hours' notice to reschedule a session. Late cancellations or no-shows may be charged the full session fee.

Limitation of Liability: To the fullest extent permitted by law, Coach's liability for any claim arising from or related to this agreement shall be limited to the amount of fees paid by Client for the portion of services giving rise to the claim. Neither party will be liable for consequential or punitive damages.
