Responsibilities and Conduct

Coach Responsibilities: The Coach will deliver coaching services consistent with professional coaching standards, prepare session materials, and maintain agreed-upon schedules. The Coach will not provide psychotherapy, medical, or legal advice unless separately contracted and qualified to do so.

Client Responsibilities: The Client agrees to attend scheduled sessions, complete agreed assignments, and notify the Coach in advance of any issues that might affect participation. The Client acknowledges that results depend on active participation.

Confidentiality, Recording, and Data

Confidentiality: Subject to legal obligations, the Coach will keep confidential all information disclosed by the Client during coaching sessions. Exceptions include suspected abuse, imminent harm, or other disclosures required by law.

Data Handling: The Provider will store personal data reasonably and only to the extent necessary to deliver services. By signing, the Client consents to the collection and storage of contact and assessment information for program administration.

Intellectual Property and Materials

Materials provided by the Coach remain the intellectual property of the Coach unless otherwise agreed in writing. The Client may use provided materials for personal or organizational development but may not reproduce or distribute copyrighted materials without permission.

Limitation of Liability; Indemnity

Except for willful misconduct or gross negligence, the Coach's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by the Client under this Agreement. The Client agrees to indemnify and hold harmless the Coach and Provider from third-party claims arising from the Client's actions or breach of this Agreement.

Termination

Either party may terminate this Agreement with written notice. Upon termination, the Client will pay for sessions provided and any non-cancelable expenses. Where termination is for material breach, the non-breaching party may seek remedies as permitted under applicable law.
