Fees and Payment

Participant agrees to pay tuition and fees as set forth below and in accordance with the payment schedule. Failure to pay when due may result in suspension from the cohort pursuant to the Termination clause.

Refunds, Cancellation, and Transfer

Refunds are discretionary and subject to the schedule below. If Participant withdraws prior to the first cohort session, Provider will refund % of tuition, less administrative fee of . After the first session, refunds will be prorated at Provider's sole discretion except where prohibited by law.

Attendance, Participation, and Deliverables

Participant agrees to attend scheduled sessions, complete assigned work, and participate in group activities. Excessive unexcused absences or failure to complete required assignments may result in removal from the program without refund under the Termination clause.

Confidentiality and Conduct

Participant acknowledges that cohort sessions may include confidential discussions and proprietary materials. Participant agrees not to disclose confidential information about other participants or proprietary materials provided by Provider. Participant also agrees to abide by the Provider's code of conduct and not engage in harassment, discrimination, or disruptive behavior.

Intellectual Property

Materials provided by Provider, including curricula, slides, recordings, and templates, remain the sole property of Provider unless otherwise agreed in writing. Participant is granted a limited, non-transferable license to use materials for personal and professional development. Recording of sessions by participants is prohibited without prior written consent from Provider.

Medical, Accessibility, and Emergency Information

Liability, Indemnity, and Insurance

Participant accepts all risks associated with participation in the cohort, including but not limited to travel, in-person activities, and digital interactions. To the fullest extent permitted by law, Participant releases Provider, its officers, employees, and agents from any liability for loss, damage, or injury arising from participation, except where caused by Provider's gross negligence or willful misconduct. Participant agrees to indemnify and hold harmless Provider against claims resulting from Participant's breach of this Agreement.

Termination and Withdrawal

Either party may terminate this Agreement for material breach by the other party after providing written notice and a reasonable opportunity to cure. Provider reserves the right to terminate participation immediately for violations of conduct, safety concerns, or nonpayment. Termination does not relieve Participant of outstanding financial obligations accrued prior to termination.

Dispute Resolution

In the event of a dispute arising under this Agreement, the parties will first attempt to resolve the matter in good faith through direct negotiation. If negotiation fails, the parties agree to mediate the dispute with a mutually acceptable mediator prior to pursuing litigation. This clause does not prevent either party from seeking injunctive relief if necessary to protect rights.

Privacy and Records

Provider will maintain Participant records in accordance with its internal privacy practices. Participant consents to Provider's collection and use of personal information solely for program administration, billing, and program evaluation purposes. Provider will not disclose personal information except as required by law or with Participant's consent.
