The parties acknowledge that coaching is an educational and developmental service and does not guarantee specific academic outcomes.

Cancellation, Rescheduling, and Refund Policy

Cancellation by Student with less than hours' notice shall be subject to forfeiture of the session fee. Rescheduling requests made at least the stated notice period will be accommodated subject to Coach availability. Refunds are governed as follows:

Confidentiality and Use of Materials

The Coach agrees to keep confidential all Student information disclosed in the course of coaching, except where disclosure is required by law or where there is a reasonable belief of imminent harm. Student grants Coach a license to use anonymized, non-identifiable progress data for internal program evaluation. Intellectual property created exclusively by Coach remains Coach's property unless otherwise agreed in writing.

Liability, Indemnification, and Dispute Resolution

Coach's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total amount paid by Student under this Agreement. Neither party will be liable for consequential or punitive damages. Student agrees to indemnify and hold Coach harmless from third-party claims arising from Student's breach. Any dispute shall be resolved first by good-faith negotiation; if unresolved within 30 days, the dispute shall be submitted to binding arbitration under the rules selected by the parties.

Student is expected to maintain a professional and respectful conduct. Any academic integrity policies applicable at Student's institution remain in force. Sessions will not be recorded without prior written consent of both parties. Data Protection and Notices

Contacts and billing information will be used for administration and communication related to this Agreement. The parties shall provide written notice of any change of address or contact information within 10 days of such change.
