Contractor represents and warrants that Contractor possesses all licenses, certifications, permits, credentials, clearances, and qualifications required to perform the services described in this agreement, and that all such credentials are current. Contractor shall promptly notify the institution of any suspension, revocation, or material restriction of any such credential.

Contractor acknowledges that, as a condition of providing services, the institution may require criminal background checks, child abuse registry checks, fingerprinting, and other vetting. Contractor agrees to comply with all mandated checks and to provide truthful documentation. Contractor further acknowledges mandatory reporting obligations and agrees to abide by applicable child safety and student-protection policies while performing services involving students.

Insurance and Indemnification

Contractor shall, at Contractor's expense, maintain insurance coverage adequate for the Services, including commercial general liability, professional liability (if applicable), and workers' compensation as required by law. Contractor agrees to provide certificates of insurance naming the institution as an additional insured where required and to maintain such insurance throughout the Term. Contractor shall indemnify, defend, and hold harmless the institution, its officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses arising out of Contractor's performance or breach of this agreement, except to the extent caused by the institution's gross negligence or willful misconduct.

Confidentiality and Intellectual Property

Contractor shall maintain the confidentiality of student education records and any other confidential information gained in the course of performing services and shall comply with all applicable student-privacy laws and institutional policies. Unless otherwise agreed in writing, work product created by Contractor in connection with this engagement that is specifically commissioned by the institution for institutional use shall be the property of the institution. Contractor may retain non-confidential tools, methodologies, and pre-existing intellectual property.

Termination and Remedies

Either party may terminate this agreement for convenience upon providing written notice as specified below. The institution may terminate immediately for cause, including but not limited to breach, loss of required credentials, criminal conviction, or conduct detrimental to students or the institution. Upon termination, Contractor shall promptly cease providing services and shall submit any outstanding invoices for work performed through the effective date of termination. Termination shall not relieve either party of obligations accrued prior to termination.

Governing Law; Entire Agreement

This agreement shall be governed by and construed in accordance with the laws of the state in which the institution is located, without regard to conflict-of-law principles. This agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior oral or written agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
