What a Corp to Corp Employment Agreement Covers

A Corp to Corp Employment Agreement is a contract between two business entities that governs the provision of services by one corporation to another. It defines scope of work, payment terms, term and termination conditions, tax and benefit responsibilities, insurance requirements, intellectual property ownership, confidentiality, and indemnities. The document clarifies that the worker is engaged through a supplier corporation rather than as an employee of the hiring company, which helps establish independent contractor status when supported by facts and documentation. Accurate entity names, EINs, and authorized signatures support enforceability under contract law and electronic signature statutes.

Why a Corp to Corp Agreement Matters for Businesses

This agreement allocates liability, defines tax and payment responsibilities, and documents IP and confidentiality obligations between companies. It reduces misclassification risk, clarifies invoicing and insurance obligations, and creates a written record useful for audits, vendor management, and dispute resolution.

Why a Corp to Corp Agreement Matters for Businesses

Who Typically Uses Corp to Corp Agreements

Common parties include staffing firms, consulting corporations, and the hiring company that receives services under a business-to-business arrangement.

  • Staffing and consulting firms supplying skilled professionals under contract for fixed terms and project deliverables.
  • Clients or hiring corporations contracting with vendors for temporary or project-based labor through a corporate supplier.
  • In-house legal, procurement, and HR teams drafting and reviewing corp-to-corp terms to manage risk and compliance.

These agreements are used wherever an organization engages another company to supply personnel, whether for projects, staff augmentation, or ongoing vendor services.

Core Components to Include in the Agreement

Include clear clauses on parties, scope, payment, taxes, IP, insurance, confidentiality, and termination to align expectations and limit future disputes between corporate parties.

Parties

Identify full legal entity names, business addresses, authorized contacts, and Employer Identification Numbers (EINs). Accurate identification supports tax reporting and enforceability.

Scope

Describe services, deliverables, milestones, acceptance criteria, and change-control procedures. Attach a statement of work or exhibit for technical detail to reduce ambiguity.

Payment

Specify rates, invoicing schedule, payment terms, currency, late fees, and reimbursement policies. State which party bears payroll taxes and benefits.

Tax & Benefits

Confirm that the supplier is responsible for payroll taxes and employee benefits; include indemnity language to address misclassification claims or audits.

IP & Confidentiality

Assign ownership or license rights for work product, include confidentiality obligations, and define permitted uses and retention of proprietary data.

Insurance & Indemnity

List required liability, workers' compensation, and professional liability insurance limits; define indemnification scope for third-party claims and defense costs.

Step-by-Step: Filling and Finalizing the Agreement

Follow these steps to prepare the agreement, confirm terms with both companies, and complete execution for recordkeeping and e-signature.

  • 01
Gather details: Collect entity names, EINs, addresses, and insurance certificates.
  • 02
Define scope: Attach statement of work and acceptance criteria.
  • 03
Set payment: Confirm rates, invoices, and tax responsibilities.
  • 04
Execute: Obtain signatures, dates, and store signed copies.

Configure an Online Workflow for Signed Agreements

Set up a repeatable online workflow to assign roles, enforce signer order, and retain an immutable audit trail for each executed agreement.

Field Configuration
Signer Roles Define primary and secondary signers and sequence rules.
Authentication Level Use email link or SMS code; KBA for higher assurance.
Notifications Enable reminders, expiration alerts, and completion receipts.
Retention Settings Store signed PDFs with audit logs and export options.

Digital Signing and Platform Considerations

Use a platform that supports ESIGN/UETA principles, provides a detailed audit trail, and integrates with your document storage and ERP systems.

  • File Formats: PDF and DOCX file formats supported.
  • Integrations: Salesforce, NetSuite, Google Workspace integrations available.
  • Authentication: Email, SMS, or advanced signer authentication options.

How eSubmission and Routing Typically Works

A standard online execution flow: upload the final document, place fields, assign signers, send for signature, and archive the signed package with audit logs.

  • Upload: Upload the final draft in PDF or DOCX format.
  • Prepare: Place signature, initial, and data fields in the document.
  • Send: Choose signer order and required authentication level.
  • Archive: Store signed PDF and completion certificate securely.

Key Dates and Deadlines to Track

Track key dates and deadlines when creating, executing, and maintaining the agreement to ensure performance, insurance coverage, and audit readiness.

Milestone Deliverable Dates:

Deadlines tied to payment and acceptance.

Insurance Renewal Dates:

Invoice Submission Deadlines:

Record Retention Start Date:

Date the retention clock begins after execution.

Security and Compliance Elements to Verify

Encryption: TLS 1.2/1.3, AES-256 at rest
Certifications: SOC 2 Type II, ISO 27001
HIPAA BAA: BAA available for covered entities
Audit Trail: Timestamps, IP addresses, action logs
Access Controls: Role-based access and SSO options
Retention: Secure archival and exportable audit files

Key Penalties and Risks to Understand

Misclassification Risk: Potential payroll tax liabilities
Late Payment Penalties: Interest and collections expense
Tax Reporting Fines: 1099 penalties $60–$330 per form
I-9 Violations: $281–$2,789 per violation
Breach of IP: Litigation and injunctive relief
Invalid Execution: Missing authority can void agreement

Common Mistakes to Avoid When Preparing the Agreement

  • Leaving the scope vague or omitting acceptance criteria leads to disputes over deliverables and payment triggers, increasing the chance of contested work and delayed revenue.
  • Using an individual's name rather than the supplier's corporate legal name creates tax and enforceability problems when matching EINs and invoices for reporting.
  • Failing to confirm the signer's corporate authority or attach a board resolution can render the contract unenforceable and expose parties to litigation.
  • Overlooking proof of required insurance or not verifying certificates of insurance leaves the hiring company exposed to uninsured third-party claims and financial loss.
