Instructor Responsibilities

Instructor shall deliver lectures, prepare and submit a syllabus consistent with departmental standards at least prior to the first scheduled class, evaluate student work fairly and timely, maintain records, and hold a minimum of office hours per week or by appointment.

Compensation and Invoicing

Compensation: The Institution agrees to pay Instructor the amount of $ for the services described herein, payable in accordance with the schedule below.

Intellectual Property and Course Materials

Instructor retains moral rights and copyright in original works created prior to or outside the scope of this Agreement. Instructor grants the Institution a perpetual, nonexclusive, royalty-free license to use, reproduce, and distribute course materials created specifically for and delivered under this Agreement for institutional purposes, consistent with academic mission and accreditation obligations.

Confidentiality and Student Records

Instructor shall safeguard student and institutional confidential information and access student records only as required for performance of duties. Instructor shall not disclose identifiable student education records except as permitted by law and Institution policy. These obligations survive termination of this Agreement.

Insurance, Background Checks and Indemnification

Instructor shall maintain professional liability insurance where applicable and shall indemnify and hold the Institution harmless from claims arising from Instructor's negligence or willful misconduct. Institution may require background checks; Instructor shall cooperate with reasonable pre-employment screening requests.

Termination

Either party may terminate this Agreement for convenience with days' written notice. Institution may terminate immediately for cause, including failure to perform duties or breach of Institution policy.

Representations, Governing Law, and Miscellaneous

Instructor represents that Instructor is qualified to teach the course and will comply with all Institution policies and applicable law. This Agreement constitutes the entire agreement between the parties and may be amended only in writing signed by both parties. This Agreement is governed by the laws of the state identified below.
