Sponsor Obligations

The Sponsor shall: (a) remit payments in accordance with the Payment Method / Schedule; (b) provide any agreed materials or access necessary for course delivery; (c) comply with Institution's invoicing procedures. Sponsor acknowledges that payments are not conditioned on student grades or course outcomes except as expressly set forth in this Agreement.

Institution Obligations

The Institution shall: (a) apply sponsorship funds solely to the Course and student identified in this Agreement; (b) administer course registration and credit in accordance with Institution policy; (c) provide Sponsor with periodic reports as required below; and (d) not disclose Student Personally Identifiable Information except as authorized by Student or applicable law.

Frequency: Quarterly Semester Upon Completion

Recognition, Publicity, and Use of Logos

The Institution may recognize the Sponsor in course materials, websites, and events as described below. Use of Sponsor name or logo for promotional purposes requires prior written approval by Sponsor.

Confidentiality and Data Protection

Each party shall protect confidential information, including Student education records and Sponsor proprietary information, in accordance with applicable privacy laws. Institution will obtain Student or guardian consent where required for disclosure of education records to Sponsor. Sponsor shall not use confidential student information for purposes other than administering the sponsorship.

Termination and Refunds

This Agreement may be terminated for material breach, insolvency, or by mutual written agreement. Upon termination for Sponsor's convenience prior to the course start date, Institution shall refund any unearned portion of prepaid funds in accordance with Institution refund policy described below.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from its negligent acts or willful misconduct in performance of this Agreement. Neither party shall be liable for indirect, incidental, or consequential damages, except in cases of willful misconduct or gross negligence.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of without regard to its conflicts of law principles. The parties shall attempt to resolve disputes through good faith negotiation prior to initiating formal proceedings.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other address as either party may designate in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions and agreements. Amendments must be in writing and signed by authorized representatives of both parties.
