Copyright, Warranties and Indemnity

Provider represents and warrants that it has secured all required rights and permissions for the materials included in the coursepack and that distribution as contemplated herein will not infringe third-party rights. Provider shall indemnify, defend and hold Institution harmless from and against all claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising from alleged infringement or breach of third-party rights, except to the extent such claims arise from Institution's negligent alteration of materials or distribution beyond the scope of this Agreement.

Institution represents that use of the coursepack will be limited to enrolled students for the specified term unless otherwise agreed in writing. Institution shall promptly notify Provider of any alleged infringement, and Institution shall not make admissions or settlements that affect Provider's rights without Provider's prior written consent.

Term, Termination and Remedies

This Agreement commences on the Effective Date and continues through the end of the Term End Date unless earlier terminated as provided herein. Either party may terminate for material breach if the breaching party fails to cure within days after written notice. Upon termination for Provider's breach, Institution may obtain a refund of prepaid amounts attributable to undelivered materials; upon termination for Institution's breach, Provider may recover unpaid fees and reasonable costs of collection.

Confidentiality and Data Protection

Each party shall maintain the confidentiality of the other party's confidential information and shall process any student personal data in accordance with applicable law and institutional policy. Provider shall not use student lists except for distribution required to fulfill this Agreement.

Limitation of Liability; Governing Law

Except for indemnification obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. This Agreement shall be governed by the laws of the state or jurisdiction of the Institution.
