Scope of Work

Fees, Invoicing and Payment

Compensation to Developer shall be as set forth below. All invoices shall reference this Contract and the applicable deliverable or milestone.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum allowed by law. Client shall pay undisputed amounts within thirty (30) days of invoice receipt.

Acceptance, Revisions and Change Orders

Deliverables will be subject to Client review and acceptance. Acceptance criteria will be based on agreed specifications and documented performance measures. Client may request revisions as provided herein.

Intellectual Property and License

Subject to full payment, Developer grants Client a perpetual, nonexclusive, worldwide license to use, reproduce, and distribute the final curriculum deliverables for educational purposes. Developer represents that materials are original or properly licensed and that rights granted herein do not infringe third-party rights.

Confidentiality

Each party shall maintain the confidentiality of the other party's proprietary information disclosed in connection with this Contract and shall not disclose such information except as required by law. Confidential information does not include information that is publicly known or rightfully received from a third party.

Warranties; Limitation of Liability; Indemnity

Developer warrants that the deliverables will conform materially to the agreed specifications for a period of sixty (60) days after acceptance. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES ARE DISCLAIMED. Neither party will be liable for incidental, consequential, or punitive damages except for willful misconduct. Developer agrees to indemnify and hold Client harmless from third-party claims arising from Developer's breach of representations and warranties.

Insurance

Developer shall maintain, at its expense, professional liability insurance and general liability insurance in commercially reasonable amounts. Upon request, Developer will provide certificates of insurance evidencing coverage.

Term, Termination and Remedies

This Contract commences on the Effective Date and continues until completion of obligations unless earlier terminated. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days following written notice. Upon termination, Client will pay for accepted work and Developer will deliver work in progress.

Governing Law and Dispute Resolution

This Contract shall be governed by the laws of the state of without regard to conflict of laws principles. Parties agree to seek resolution through good-faith negotiation and, if necessary, mediation prior to commencing litigation.

Notices

Notices required under this Contract shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier.

Relationship of the Parties; Miscellaneous

Developer is an independent contractor. Nothing in this Contract creates an employer-employee relationship, joint venture, or partnership. This Contract constitutes the entire agreement and supersedes prior agreements. Amendments must be in writing and signed by both parties.
