What the Director Responsibility Agreement Is and When It’s Used

A Director Responsibility Agreement is a written contract between a corporation and an individual director that codifies duties, standards of conduct, indemnification terms, conflict-of-interest disclosures, and reporting obligations. It supplements corporate bylaws and fiduciary duties under state law by setting expectations for decision-making, confidentiality, and turnover procedures. Organizations use this document at appointment, when a director’s role changes, or to clarify liability protection and indemnity scope. The agreement helps boards document acceptance of responsibilities and creates a clear record for governance and risk management.

Why a Director Responsibility Agreement Matters for Governance

The agreement clarifies director duties, reduces disputes over scope of authority, and documents indemnity or expense advancement terms. It supports consistent governance, helps protect directors from personal exposure when acting in good faith, and creates an auditable record for corporate compliance and insurance purposes.

Why a Director Responsibility Agreement Matters for Governance

Typical parties who prepare, sign, or rely on this agreement

Boards, corporate secretaries, general counsel, and incoming directors often prepare or review this agreement to ensure clarity on responsibilities and liability protection before a director takes office.

  • Board of directors and corporate counsel responsible for governance and risk management.
  • Incoming or existing individual directors who need documented indemnity, duties, and disclosure obligations.
  • Shareholders and executives when board composition, delegation, or oversight rules are revised.

Using a standard form with clear fields reduces negotiation friction and preserves a consistent corporate record for audits, insurers, and regulators.
