EASEMENT FOR RIGHT-OF-WAY KNOW ALL MEN BY THESE PRESENTS: That the Grantor,                                                                         for and in consideration of                         and other good and valuable consideration, the receipt of which is hereby acknowledged, does by these presents grant, bargain, sell and convey to                                     Grantee, for the period ending                                     a nonexclusive easement for right-of-way, on, over and across any existing road and roads to be constructed by Grantee, upon the following described real estate, to-wit: _____________________________________________________________________ _____________________________________________________________________ _____________________________________________________________________ _____________________________________________________________________ _____________________________________________________________________ or said existing road and roads to be constructed being approximately located as shown in red on Exhibit A attached hereto and by this reference made a part hereof. The parties hereto hereby agree that the rights hereinabove granted shall be subject to the following terms and conditions: 1. This easement is conveyed solely for the purposes of use and maintenance of the existing road and any road to be constructed by Grantee for the hauling of forest products. 2. Grantor reserves to Grantor, the right at all times for any purpose to cross or recross at any place on grade or otherwise, and to use said right-of-way in a manner that will not unreasonably interfere with the rights granted to Grantee hereunder. 3. Grantor may grant to third parties, upon such terms as Grantor elects, any or all of the rights reserved by Grantor, provided, that use by such party shall be subject to the terms and conditions of this agreement and shall not unreasonably interfere with the rights granted to Grantee hereunder. 4. During periods when an existing road, or portion thereof, or any road constructed by Grantee, is being used by Grantee, the road shall be marked at the sole cost and expense of Grantee, and at the termination of such use, shall be left in a condition not less than equal to the condition of the road immediately prior to said use. For purposes of this agreement, maintenance is defined as the work normally necessary to preserve and keep the roadway, road structure and road facilities as nearly as possible in their present condition or as hereafter improved. 1 5. Grantee may permit the respective contractors, licensees, purchasers of timber or other forest products of Grantee, and their agents, hereinafter referred to as Permittee, to exercise the rights granted to Grantee herein. 6. Grantee shall during any period of use of said road or use by the Permittee of Grantee, obtain and maintain in force, and provide Grantor a certificate of insurance or an endorsement thereof naming Grantor as additional insured, which shall insure Grantor against liability for bodily injury and property damage arising out of the use of said road on real estate of Grantor. The limits of liability and the amounts of such coverage shall be as follows: 1. Motor vehicle coverage of not less than $500,000 combined single limit bodily injury and property damage liability insurance. 2. Non-owned and hired motor vehicle coverage of not less than $500,000 combined single limit bodily injury and property damage liability insurance. 3. Public liability coverage of not less than $1,000,000 combined single limit bodily injury and property damage liability insurance. 4. Broad Form B Logging Property Damage, with limits of not less than $1,000,000 each occurrence. 5. Grantee agrees to save and hold harmless Grantor from all claims, costs, damage, or expense of any kind, arising out of the occupancy or use of said road by Grantee, or the Permittee of Grantee.
