Participant Obligations

Participant agrees to attend scheduled sessions, submit assignments on time, comply with the Provider's code of conduct, and participate in evaluation activities. Failure to meet obligations may result in suspension or dismissal without refund except as provided below.

Confidentiality and Intellectual Property

Participant and Provider each acknowledge that confidential information exchanged under this Agreement shall be kept confidential and used solely to perform obligations hereunder. Materials, curriculum, and intellectual property created by the Provider remain the Provider's sole property. Participant grants Provider a non-exclusive license to anonymized feedback and outcomes for program improvement.

Termination and Refunds

Either party may terminate this Agreement for material breach if the breach is not cured within 14 days of written notice. Provider may terminate for non-payment immediately. Refunds, if any, will be determined by the Provider's refund schedule as follows:

Liability, Indemnification, and Insurance

Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total tuition paid by Participant. Neither party shall be liable for incidental, special, or consequential damages. Participant shall indemnify and hold Provider harmless from claims arising from Participant's breach or negligence. Provider will maintain general liability insurance appropriate to the services provided.

Data Use and Media Release

Participant consents to the collection and limited use of personal data for program administration. Participant grants the Provider permission to use photographs, testimonials, and project excerpts that do not disclose sensitive personal data for promotional purposes unless the Participant checks the opt-out box below.

Dispute Resolution

Any dispute arising from or relating to this Agreement shall be resolved first through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration before a single arbitrator. The arbitrator's decision shall be final and binding, subject to applicable law governing arbitration.
