Confidentiality and Records

The Advisor will maintain confidentiality of Student records and communications consistent with applicable privacy laws and institutional policy. Responsibilities of the Parties

Student Responsibilities: attend scheduled meetings, provide accurate academic information, complete agreed actions, and provide timely notice of cancellation. Advisor Responsibilities: provide competent advising, maintain records of sessions, refer to specialists as necessary, and notify Student of material schedule changes.

Termination, Liability, and Indemnity

Either party may terminate this Agreement upon written notice if the other party materially breaches these terms and fails to cure within a reasonable period. Fees for services rendered through the termination date shall be payable in accordance with the Payment Plan.

Limitation of Liability: To the extent permitted by law, Advisor's liability for any claim arising from this Agreement is limited to the total fees paid by the Student under this Agreement. The Advisor is not responsible for Student decisions made following advising sessions.

Indemnification: The Student (or Parent/Guardian if Student is minor) agrees to indemnify and hold harmless the Advisor and the Advisor's institution from any third-party claims arising out of the Student's negligent or willful acts in connection with this Agreement.

Dispute Resolution and Governing Law

This Agreement will be governed by the laws of the state in which the Advisor's primary office is located. The parties agree to attempt mediation before initiating litigation for disputes arising from this Agreement; if mediation fails, disputes may be resolved in courts of competent jurisdiction in the same state.
