Taxes and Fees: Contractor is responsible for applicable taxes on services unless otherwise stated. Any school facility fees or permit costs charged to Contractor will be billed to Contractor unless agreed in writing.

Venue Access, Permits and Staffing

Contractor shall arrive at the Venue at the agreed time and complete setup and cleanup within the time specified. Contractor is responsible for obtaining all necessary permits and for ensuring that all staff possess required certifications.

Health, Safety and Background Checks

Contractor warrants that food will be prepared and served in compliance with applicable health and safety regulations. Contractor will ensure staff comply with school background screening requirements where applicable.

Contractor shall maintain commercial general liability insurance with limits not less than the amount specified: $ . Proof of insurance shall be provided to Client upon request.

Cancellation, Termination and Remedies

Cancellation by Client more than days prior to the Event: full refund of deposit. Cancellation by Client within days: deposit forfeited. Contractor may terminate for breach after written notice and reasonable cure period.

If Contractor cancels within days of the Event, Contractor shall use reasonable efforts to secure a comparable replacement; failure to do so will require refund of all amounts paid by Client and payment of reasonable documented costs incurred by Client as a direct result of the cancellation.

Indemnification and Liability

Contractor agrees to indemnify, defend and hold harmless the Client, its trustees, officers, employees and agents from and against all liabilities, claims, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's negligence, willful misconduct, or breach of this Contract, except to the extent caused by the negligence or willful misconduct of Client.

Force Majeure

Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, governmental action, strikes, or public health emergencies. The party affected shall promptly notify the other and use reasonable efforts to mitigate the impact.

Records, Amendments and Governing Law

This Contract constitutes the entire agreement between the parties with respect to the Services. Any amendment must be in writing and signed by authorized representatives of both parties. This Contract shall be governed by the laws governing the Client's jurisdiction.
