Intellectual Property

Ownership of intellectual property created in the course of collaborative activities shall be allocated as follows. The Parties may agree to separate written addenda for specific projects; absent such an addendum, the default allocation below applies.

Financial Terms and Resource Contributions

Unless otherwise specified in a project addendum, each Party shall bear its own costs. Any financial contributions, tuition arrangements, or fees to be paid by a Party shall be set forth below.

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered not less than days prior to the effective date of termination. Either Party may terminate for cause if the other Party materially breaches this Agreement and fails to cure within days after written notice of breach.

General Provisions

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both Parties. Assignment: Neither Party may assign its rights or obligations without the prior written consent of the other Party. Severability: If any provision is held invalid, the remainder shall remain in effect. Governing Law: The Parties agree that the laws applicable to this Agreement shall be those of the jurisdiction in which the Institution is located, without regard to conflict of law principles.
