EDUCATION COMPANY AGREEMENT

This Education Company Agreement ("Agreement") is entered into as of by and between:

Parties

Recitals

WHEREAS, Provider is engaged in the business of delivering educational programs, instructional services, software and related support; and WHEREAS, Client desires to retain Provider to deliver the Services described in this Agreement to Client's students under the terms and conditions set forth below.

Term

The initial term of this Agreement shall commence on and continue until unless earlier terminated in accordance with Section 8 (Termination).

Scope of Services

Provider shall furnish the educational services, programs, curriculum materials, instructional personnel and technical support described in the attached Service Description (the "Services"). The Services to be provided during the Term include:

Program deliverables, milestones, and performance standards will be documented in the Services Description and incorporated into this Agreement by reference. Provider will perform Services in a professional manner consistent with industry standards and applicable accreditation requirements.

The following identifies the primary student(s) covered by the Services for which Client is enrolling:

Fees, Payment and Invoicing

Client agrees to pay Provider the fees for Services as set forth below and in any attached Fee Schedule.

Invoices shall be issued by Provider and are payable within days of invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Confidentiality and Student Data

Provider and Client shall maintain as confidential all nonpublic information and individually identifiable student records exchanged in connection with the Services. Provider will use student data only for purposes of performing the Services and will implement reasonable administrative, technical and physical safeguards to protect such data against unauthorized access, disclosure, alteration or destruction. Provider shall not disclose student records except as required by law or with Client's prior written consent.

Intellectual Property

Unless otherwise agreed in writing, Provider retains all right, title, and interest in preexisting materials, curriculum, software and methodologies provided as part of the Services. Client is granted a limited, nonexclusive, nontransferable license to use Provider's materials solely for Client's internal educational purposes during the Term.

Insurance, Background Checks and Compliance

Provider shall maintain commercial general liability and professional liability insurance in amounts customarily carried by service providers of similar size and shall, upon request, furnish certificates of insurance to Client. Provider shall ensure that employees and contractors performing Services who have direct, unsupervised access to students have undergone background screening as required by Client and applicable law.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Client may terminate for convenience upon days' prior written notice and payment of any outstanding fees due for Services performed up to the effective date of termination.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from third party claims arising out of the indemnifying party's negligence or willful misconduct in performing its obligations under this Agreement. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO PROVIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Records, Audit and Reporting

Provider shall maintain records related to the performance of Services for a period of at least three (3) years and shall permit Client reasonable access to such records for purposes of program monitoring and audit, subject to confidentiality protections.

Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and performance of this Agreement will not violate any other agreement or applicable law binding on such party.

General Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals or agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in effect. This Agreement shall be governed by the laws of the jurisdiction specified below.
