The Partner agrees to comply with all applicable institution policies, local and state laws, and to obtain any required approvals prior to student contact. The Partner will not permit personnel with disqualifying records to participate in student-facing activities.

Insurance, Liability and Indemnification

Insurance requirements: The Partner shall maintain commercial general liability insurance and, if applicable, professional liability and workers' compensation coverage in minimum amounts of coverage as set forth below or as otherwise required by the Institution.

Indemnification: Each Party shall indemnify, defend and hold harmless the other Party from and against any claims, liabilities, losses or expenses arising from its negligence or willful misconduct in performance of this Agreement, except to the extent caused by the other Party's negligence or willful misconduct.

Intellectual Property and Work Product

Ownership of materials created specifically for this Opportunity shall be governed by the following: Institution retains ownership of student records and student work as required by applicable law; the Parties may agree in writing as to ownership and license for other deliverables. Partner grants Institution a perpetual, nonexclusive, royalty-free license to use materials developed for instructional or administrative purposes.

Term, Termination and Remedies

Term: This Agreement commences on the Effective Date and continues until the completion date set forth above or until terminated earlier in accordance with this section. Either Party may terminate for convenience upon thirty (30) days' written notice. Either Party may terminate immediately for material breach or for conduct that places students at risk.

Records, Reporting and Audit Rights

The Partner shall maintain records relevant to the Agreement and permit the Institution reasonable access for inspection and audit. Reports and evaluations required by the Institution shall be delivered in accordance with the schedule set forth in this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state in which the Institution is located, without regard to conflict of law principles. The Parties agree to seek resolution of disputes in good faith and may pursue mediation prior to initiating litigation.

By participating, the Partner and any assigned personnel acknowledge and agree to comply with the Institution's academic and behavioral policies, including student code of conduct, attendance, grading, and nondiscrimination requirements.
